1. Purpose of This Policy

This Payment & Payout Policy explains how payments, refunds, chargebacks, payouts, commissions, fees, reserves, offsets, payment review, payout review, and related payment activities may be handled on MRNMarket.

This Policy is intended to support:

  1. safe payment processing;
  2. marketplace transaction management;
  3. payout administration;
  4. fraud prevention;
  5. chargeback risk management;
  6. dispute review;
  7. delivery confirmation;
  8. refund review;
  9. Seller performance review;
  10. Affiliate commission review;
  11. tax and compliance review;
  12. Payment Processor compliance; and
  13. lawful marketplace operations.

This Policy does not guarantee payment approval, payout timing, payout success, refund approval, chargeback outcome, dispute outcome, Seller performance, Buyer conduct, delivery success, Affiliate commission approval, or Payment Processor decisions.

2. Important Payment Role Notice

MRNMarket operates primarily as a marketplace technology platform.

Unless expressly stated in writing, MRNMarket is not:

  1. a bank;
  2. a money transmitter;
  3. a licensed escrow provider;
  4. a payment processor;
  5. a financial institution;
  6. a custodian of funds;
  7. a financial adviser;
  8. a payment account provider;
  9. an investment service provider; or
  10. a guarantor of payment, payout, refund, chargeback, or settlement outcomes.

Payments, refunds, chargebacks, payouts, settlements, reserves, and related payment activities may be processed by third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

Any payment review, payout delay, refund review, reserve, hold, release procedure, settlement review, or platform-level payment support does not mean that MRNMarket provides escrow, banking, money transmission, payment processing, custody, or financial advisory services.

3. Scope of This Policy

This Policy may apply to:

  1. Buyer payments;
  2. Seller payouts;
  3. Affiliate commissions;
  4. Delivery Partner payments;
  5. Service Provider payments;
  6. refunds;
  7. returns;
  8. chargebacks;
  9. reversals;
  10. reserves;
  11. fees;
  12. offsets;
  13. deductions;
  14. settlement amounts;
  15. payment review;
  16. payout review;
  17. promotional credits where applicable;
  18. account balances displayed in Platform tools; and
  19. any other payment-related activity connected to MRNMarket.

This Policy applies to Buyers, Sellers, Affiliates, Delivery Partners, Service Providers, and any other User involved in payment-related activity on or through the Platform.

4. Payment Processors and Third-Party Payment Services

MRNMarket may integrate with third-party Payment Processors, banks, card networks, digital wallets, financial institutions, fraud review providers, payout providers, tax providers, and other payment-related service providers.

Payment services may be subject to separate terms, rules, fees, compliance requirements, risk controls, and processing timelines imposed by those third parties.

Users may be required to accept or comply with third-party payment terms before using payment or payout features.

MRNMarket does not control all third-party payment decisions, including:

  1. payment authorization;
  2. payment decline;
  3. chargeback decisions;
  4. refund processing timelines;
  5. payout timing;
  6. account restrictions;
  7. payment method availability;
  8. reserve requirements;
  9. processor holds;
  10. bank decisions;
  11. card network rules;
  12. digital wallet rules; or
  13. financial institution decisions.

5. Buyer Payments

Buyers must provide accurate, valid, and authorized payment information.

By placing an Order or submitting payment information, the Buyer authorizes the applicable Payment Processor or payment service provider to process the payment and related charges.

Buyer payments may be subject to:

  1. payment authorization;
  2. fraud review;
  3. Payment Processor rules;
  4. bank approval;
  5. card network rules;
  6. digital wallet rules;
  7. sanctions screening;
  8. compliance review;
  9. transaction limits;
  10. currency conversion where applicable;
  11. fees where applicable;
  12. and applicable law.

An Order confirmation or payment authorization does not guarantee that the Order will be accepted, fulfilled, shipped, delivered, refunded, or completed.

6. Seller Payouts

Eligible Sellers may receive payouts for completed or eligible Transactions, subject to this Policy, Seller Agreement, Payment Review and Release Policy, Payment Processor rules, applicable fees, chargebacks, refunds, reserves, offsets, compliance review, and applicable law.

Seller payouts may be subject to:

  1. Seller verification;
  2. tax documentation;
  3. valid payout information;
  4. delivery confirmation;
  5. expiration of Buyer review period;
  6. dispute review;
  7. refund review;
  8. chargeback review;
  9. Seller performance review;
  10. prohibited or restricted Product review;
  11. intellectual property review;
  12. sanctions screening;
  13. AML or compliance review;
  14. Payment Processor requirements;
  15. legal requirements; and
  16. platform risk management.

A payout shown as pending, available, estimated, scheduled, or eligible does not guarantee payout timing, payout amount, payout method, or successful transfer.

7. Affiliate Commissions

Eligible Affiliates may receive commissions, referral payments, rewards, or other compensation only where allowed by the Affiliate Agreement, Affiliate Payout & Tax Policy, Affiliate Fraud & Abuse Policy, applicable campaign terms, and MRNMarket policies.

Affiliate commissions may be subject to:

  1. valid referral tracking;
  2. attribution rules;
  3. commission eligibility rules;
  4. order completion;
  5. refund or cancellation status;
  6. chargeback review;
  7. fraud review;
  8. affiliate verification;
  9. tax documentation;
  10. Payment Processor rules;
  11. payout thresholds;
  12. payout schedules;
  13. compliance review;
  14. and applicable law.

Affiliate tracking does not guarantee commission approval, commission amount, payout eligibility, payout timing, or successful payout.

8. Delivery Partner and Service Provider Payments

Delivery Partners and Service Providers may be eligible for payments according to their applicable agreements, service terms, Platform records, Payment Processor rules, tax documentation, performance review, dispute review, compliance review, and applicable law.

Payments to Delivery Partners and Service Providers may be delayed, held, reduced, reversed, offset, or denied where permitted by policy and law for reasons including:

  1. incomplete verification;
  2. missing tax documentation;
  3. service failure;
  4. delivery failure;
  5. missing proof of delivery;
  6. user complaints;
  7. damage claims;
  8. misconduct;
  9. policy violations;
  10. fraud indicators;
  11. compliance concerns;
  12. Payment Processor requirements;
  13. or legal requirements.

9. Payment Review and Release

Where permitted by applicable law and Payment Processor rules, payments, refunds, payouts, settlements, commissions, reserves, or related amounts may be subject to review, hold, delay, reserve, restriction, offset, reversal, or release procedures.

Payment Review and Release may apply for reasons including:

  1. delivery confirmation;
  2. pending shipment;
  3. delayed shipment;
  4. missing tracking information;
  5. non-delivery claims;
  6. damaged item claims;
  7. missing item claims;
  8. wrong item claims;
  9. refund review;
  10. return review;
  11. dispute review;
  12. Buyer Protection review;
  13. chargeback risk;
  14. chargeback filing;
  15. fraud prevention;
  16. suspicious activity;
  17. account verification;
  18. identity verification;
  19. business verification;
  20. tax documentation review;
  21. sanctions screening;
  22. AML or compliance review;
  23. Seller performance concerns;
  24. Buyer conduct concerns;
  25. Affiliate fraud review;
  26. commission eligibility review;
  27. Delivery Partner performance review;
  28. Service Provider performance review;
  29. prohibited or restricted Product concerns;
  30. intellectual property complaints;
  31. policy violations;
  32. legal requirements;
  33. Payment Processor requirements;
  34. bank, card network, or digital wallet requirements;
  35. regulator, court, or law enforcement requests;
  36. related account risk;
  37. unusual transaction patterns;
  38. high-value Transactions;
  39. new account activity;
  40. high refund or chargeback rates;
  41. platform risk management; or
  42. other circumstances permitted by MRNMarket policies or applicable law.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

10. Payout Eligibility

A User may become eligible for payout only if all applicable requirements are satisfied.

Payout eligibility may require:

  1. completed verification;
  2. valid payout method;
  3. accurate tax information;
  4. completion of required onboarding;
  5. compliance with MRNMarket policies;
  6. compliance with Payment Processor rules;
  7. completion of delivery confirmation where applicable;
  8. expiration of applicable review periods;
  9. resolution of disputes, refunds, returns, and chargebacks;
  10. clearance of compliance, sanctions, AML, and fraud review;
  11. satisfaction of payout thresholds;
  12. and satisfaction of applicable agreement terms.

MRNMarket may deny, delay, restrict, or condition payout eligibility where policy, law, risk review, or Payment Processor rules require or permit.

11. Payout Timing

Payout timing is not guaranteed.

Payout timing may depend on:

  1. Payment Processor schedules;
  2. bank processing times;
  3. card network rules;
  4. digital wallet rules;
  5. financial institution requirements;
  6. payout method;
  7. user location;
  8. verification status;
  9. tax documentation;
  10. delivery confirmation;
  11. review periods;
  12. disputes;
  13. refunds;
  14. returns;
  15. chargebacks;
  16. reserves;
  17. compliance review;
  18. sanctions screening;
  19. fraud review;
  20. platform risk review;
  21. weekends, holidays, and banking delays;
  22. technical issues; and
  23. applicable law.

MRNMarket may change payout schedules, payout methods, payout thresholds, or payout timing where permitted by policy and law.

12. Fees

MRNMarket may charge or deduct applicable fees where disclosed by MRNMarket policies, agreements, checkout pages, onboarding pages, Seller dashboards, Affiliate dashboards, transaction pages, invoices, or other Platform notices.

Fees may include:

  1. marketplace fees;
  2. Seller fees;
  3. transaction fees;
  4. commission fees;
  5. payment processing fees;
  6. payout fees;
  7. currency conversion fees;
  8. refund processing fees where permitted;
  9. chargeback fees where permitted;
  10. administrative fees where lawfully disclosed;
  11. affiliate program fees where applicable;
  12. delivery or service fees;
  13. subscription or feature fees where applicable;
  14. and other disclosed fees.

Fees may be non-refundable unless required by applicable law or a controlling policy.

13. Taxes

Users are responsible for their own tax obligations unless MRNMarket expressly states otherwise or applicable law requires otherwise.

Taxes may include:

  1. sales tax;
  2. use tax;
  3. VAT;
  4. GST;
  5. income tax;
  6. withholding tax;
  7. customs duties;
  8. import taxes;
  9. local taxes;
  10. marketplace taxes;
  11. reporting obligations;
  12. and other tax-related obligations.

MRNMarket may collect, calculate, withhold, remit, report, or facilitate taxes where required by applicable law, Payment Processor rules, or Platform processes.

MRNMarket does not provide tax, legal, accounting, customs, or financial advice. Users should obtain professional advice where needed.

14. Currency and Conversion

MRNMarket or third-party Payment Processors may support certain currencies, payment methods, payout methods, or conversion processes.

Currency conversion may be subject to:

  1. exchange rates;
  2. conversion fees;
  3. Payment Processor rules;
  4. bank fees;
  5. card network rules;
  6. digital wallet rules;
  7. payout provider rules;
  8. user location;
  9. payment method;
  10. payout method;
  11. and applicable law.

MRNMarket does not guarantee exchange rates, conversion availability, or currency conversion outcomes.

15. Refunds and Returns

Refunds, returns, exchanges, credits, adjustments, and cancellations are subject to:

  1. Refund & Return Policy;
  2. Buyer Protection Policy;
  3. Seller Agreement;
  4. Buyer Agreement;
  5. Seller policy;
  6. Product or Service type;
  7. delivery status;
  8. return condition;
  9. evidence review;
  10. Payment Processor rules;
  11. card network rules;
  12. bank procedures;
  13. dispute review;
  14. fraud review;
  15. compliance review;
  16. and applicable law.

Refunds may be full, partial, denied, delayed, reversed, or conditioned on return or other requirements.

Approved refunds generally will not exceed the amount paid by the Buyer for the affected Product or Service unless otherwise required by applicable law or a controlling policy.

16. Chargebacks and Payment Disputes

Buyers may have rights to dispute payments through banks, card networks, digital wallets, or Payment Processors.

If a Buyer initiates a chargeback or payment dispute, MRNMarket may suspend platform-level dispute or refund review for the same Transaction while the chargeback is pending.

Chargebacks may be governed by Payment Processor rules, card network rules, bank procedures, evidence review, MRNMarket policies, and applicable law.

Chargebacks may result in:

  1. payment reversal;
  2. refund review;
  3. payout hold;
  4. reserve;
  5. offset;
  6. fee assessment where permitted;
  7. account review;
  8. Seller performance review;
  9. Buyer conduct review;
  10. Affiliate commission reversal;
  11. and other Enforcement Actions where permitted.

MRNMarket does not control all chargeback outcomes.

17. Reserves

MRNMarket or applicable Payment Processors may apply reserves or risk controls to manage potential refunds, chargebacks, disputes, fraud, compliance issues, or other payment-related risk.

Reserves may include:

  1. fixed amount reserves;
  2. rolling reserves;
  3. percentage-based reserves;
  4. transaction-specific reserves;
  5. account-level reserves;
  6. category-specific reserves;
  7. time-based reserves;
  8. risk-based reserves; or
  9. reserves required by Payment Processors, banks, card networks, digital wallets, regulators, or applicable law.

Reserve amounts and release timing may depend on Transaction history, risk level, dispute activity, chargeback rates, verification status, category risk, payment method, Payment Processor rules, and applicable law.

18. Offsets, Reversals, and Deductions

Where permitted by applicable law, Payment Processor rules, card network rules, and MRNMarket policies, MRNMarket may offset, reverse, deduct, or withhold amounts related to:

  1. refunds;
  2. returns;
  3. chargebacks;
  4. chargeback fees;
  5. dispute-related costs;
  6. Seller obligations;
  7. Buyer obligations;
  8. Affiliate commission reversals;
  9. Delivery Partner or Service Provider obligations;
  10. administrative or processing fees where lawfully disclosed;
  11. unpaid fees;
  12. negative balances;
  13. policy violations;
  14. fraud;
  15. legal obligations;
  16. tax obligations;
  17. indemnity obligations; or
  18. other amounts owed under MRNMarket policies.

Any offset, reversal, or deduction is subject to applicable law and non-waivable rights.

19. Negative Balances

A User may have a negative balance if refunds, chargebacks, reversals, fees, offsets, deductions, or other amounts owed exceed available amounts.

Where permitted by law and policy, MRNMarket or applicable Payment Processors may recover negative balances by:

  1. offsetting future payments or payouts;
  2. requesting payment;
  3. restricting Account features;
  4. delaying or holding payouts;
  5. deducting from eligible amounts;
  6. referring the matter for collection where permitted;
  7. suspending or terminating the Account;
  8. or taking other lawful actions.

20. Payment Method and Payout Method Restrictions

MRNMarket may approve, reject, limit, suspend, remove, or restrict payment methods or payout methods based on:

  1. User type;
  2. location;
  3. verification status;
  4. risk review;
  5. fraud indicators;
  6. Payment Processor rules;
  7. bank requirements;
  8. card network rules;
  9. digital wallet rules;
  10. sanctions or AML concerns;
  11. product category;
  12. transaction type;
  13. account history;
  14. technical limitations;
  15. operational readiness;
  16. or applicable law.

Not all payment or payout methods are available to all Users.

21. Payment Fraud and Abuse

Users must not engage in payment fraud, payout fraud, refund abuse, chargeback abuse, commission abuse, fee avoidance, sanctions evasion, money laundering, stolen payment use, false payment claims, false payout claims, or manipulation of payment systems.

Prohibited conduct includes:

  1. using stolen payment methods;
  2. unauthorized transactions;
  3. fake Orders;
  4. false refund claims;
  5. false non-delivery claims;
  6. fake chargebacks;
  7. payout account fraud;
  8. affiliate commission fraud;
  9. self-referrals where prohibited;
  10. use of shell accounts;
  11. structuring Transactions to avoid review;
  12. off-platform payment circumvention;
  13. or using the Platform for unlawful financial activity.

Violations may result in payment review, payout denial, Account restriction, Account suspension, Account termination, reporting where permitted, or other Enforcement Actions.

22. Information Requests

MRNMarket may request information or documents needed for payment, payout, refund, compliance, tax, fraud, dispute, or chargeback review.

Requested information may include:

  1. identity documents;
  2. business documents;
  3. tax documents;
  4. proof of address;
  5. payout account information;
  6. bank documents;
  7. payment evidence;
  8. shipment records;
  9. delivery tracking;
  10. proof of delivery;
  11. invoices;
  12. product compliance documents;
  13. refund or return evidence;
  14. chargeback evidence;
  15. affiliate promotional evidence;
  16. source of funds information where appropriate;
  17. source of goods information where appropriate;
  18. or other information reasonably required.

Failure to provide requested information may result in payment review, payout delay, refund delay, payment hold, Account restriction, Account suspension, Account termination, or other Enforcement Actions.

23. Platform-Level Decisions

MRNMarket may make Platform-Level Decisions regarding payments, payouts, fees, refunds, chargebacks, reserves, offsets, commission eligibility, payment review, payout release, and related matters.

MRNMarket may consider:

  1. Platform records;
  2. Payment Processor information;
  3. delivery evidence;
  4. User evidence;
  5. Account history;
  6. verification status;
  7. dispute history;
  8. chargeback activity;
  9. refund activity;
  10. fraud indicators;
  11. compliance indicators;
  12. tax information;
  13. policy requirements;
  14. legal requirements; and
  15. third-party rules.

A Platform-Level Decision is not a court judgment, arbitral award, or legal determination of liability.

MRNMarket may revise, reverse, or supplement a payment-related decision if new evidence, fraud indicators, Payment Processor information, legal requirements, or policy considerations arise.

24. No Guarantee

MRNMarket does not guarantee:

  1. payment authorization;
  2. payment capture;
  3. payment settlement;
  4. payment method availability;
  5. payout eligibility;
  6. payout timing;
  7. payout success;
  8. refund approval;
  9. settlement timing;
  10. chargeback outcomes;
  11. bank decisions;
  12. card network decisions;
  13. digital wallet decisions;
  14. Payment Processor decisions;
  15. reserve release timing;
  16. dispute outcomes;
  17. delivery success;
  18. Seller performance;
  19. Buyer conduct;
  20. Affiliate commission approval; or
  21. detection of all fraud, abuse, or prohibited activity.

Each matter depends on applicable policies, available evidence, third-party rules, and applicable law.

25. Relationship With Other Policies

This Policy should be read together with:

  1. Terms & Conditions;
  2. Buyer Agreement;
  3. Seller Agreement;
  4. Affiliate Agreement;
  5. Affiliate Payout & Tax Policy;
  6. Delivery Partner Agreement;
  7. Service Provider Agreement;
  8. Payment Review and Release Policy;
  9. Payment Hold & Release Policy;
  10. Buyer Protection Policy;
  11. Delivery Confirmation Policy;
  12. Refund & Return Policy;
  13. Shipping & Delivery Policy;
  14. Dispute Resolution & Arbitration Policy;
  15. KYC & AML Policy;
  16. Acceptable Use Policy;
  17. Platform Rules & Governance Policy;
  18. Definitions Policy; and
  19. other applicable MRNMarket policies.

If this Policy conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.

26. Changes to This Policy

MRNMarket may update this Payment & Payout Policy from time to time to reflect changes in the Platform, payment processes, payout processes, applicable law, Payment Processor requirements, marketplace practices, tax requirements, risk controls, operational needs, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means the User acknowledges the updated Policy.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.
