1. Purpose of This Policy

This combined Payment Hold, Review & Release Policy explains when and why MRNMarket may reviewholddelayreserverestrictoffsetreverse, or release payments, refunds, payouts, settlements, commissions, or related amounts in connection with marketplace activity on the Platform.

This Policy is intended to support:

  1. Delivery confirmation
  2. Fraud prevention
  3. Dispute review
  4. Refund and return review
  5. Chargeback risk management
  6. Seller performance review
  7. Buyer conduct review
  8. Affiliate commission review
  9. Compliance review
  10. Sanctions screening
  11. Payment processor requirements
  12. Platform integrity
  13. Lawful marketplace operations

This Policy does not guarantee payment approval, payout timing, refund approval, chargeback outcome, dispute outcome, delivery success, seller performance, buyer conduct, affiliate commission approval, or payment processor decisions.

2. Important Payment Role Notice

MRNMarket operates primarily as a marketplace technology platform.

Unless expressly stated in writing, MRNMarket is not:

  1. a bank
  2. a money transmitter
  3. a licensed escrow provider
  4. a payment processor
  5. a financial institution
  6. a custodian of funds
  7. a financial adviser
  8. a payment account provider
  9. a guarantor of payment, payout, refund, chargeback, or settlement outcomes

Payments, refunds, chargebacks, payouts, settlements, reserves, and related payment activities may be processed by third‑party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

A payment hold, payout delay, refund review, payment review, reserve, release procedure, or settlement review does not mean that MRNMarket provides escrow, banking, money transmission, payment processing, custody, or financial advisory services.

3. Scope of This Policy

This Policy may apply to:

  1. Buyer payments
  2. Seller payouts
  3. Affiliate commissions
  4. Delivery Partner payments
  5. Service Provider payments
  6. Refunds, returns, chargebacks
  7. Reserves and settlement amounts
  8. Account balances shown in Platform tools
  9. Promotional credits where applicable
  10. Payment reversals, payout offsets, disputed amounts
  11. Any other payment‑related activity connected to the Platform

This Policy applies to Buyers, Sellers, Affiliates, Delivery Partners, Service Providers, and any other User involved in payment‑related activity on or through MRNMarket.

4. Definitions

Payment ReviewMRNMarket’s platform‑level process of examining a transaction, delivery, dispute, refund, chargeback, compliance, fraud, performance, or other relevant factor before making a decision on release, hold, reserve, or other action.
Payment HoldA delay, reserve, restriction, review period, processor‑controlled hold, platform‑level review, or other limitation applied to a payment, refund, payout, commission, settlement, or transaction amount.
ReleaseThe platform‑level or processor‑supported process by which an amount becomes eligible for payout, refund, settlement, reversal, or other processing under applicable policies, Payment Processor rules, and applicable law.
ReserveAn amount temporarily retained, delayed, restricted, or subject to review to address risk, chargebacks, refunds, disputes, legal requirements, policy requirements, or Payment Processor requirements.
Payment ProcessorA licensed, authorised, or third‑party payment service provider that processes payment authorisation, capture, settlement, refund, reversal, chargeback, payout, fraud review, hold, reserve, or related payment functions.

5. When Payment Review & Holds May Apply

Where permitted by applicable law and Payment Processor rules, payments, refunds, payouts, settlements, commissions, reserves, or related amounts may be subject to reviewholddelayreserverestrictionoffsetreversal, or release procedures for reasons including but not limited to:

  1. Delivery confirmation, pending or delayed shipment, missing tracking
  2. Non‑delivery, damaged item, missing item, or wrong item claims
  3. Refund, return, or dispute review
  4. Buyer Protection claim or chargeback risk / filing
  5. Fraud prevention, suspicious activity, unusual transaction patterns
  6. Account, identity, business, or tax documentation verification
  7. Sanctions screening, AML, or compliance review
  8. Seller performance concerns, high refund or chargeback rates
  9. Buyer conduct concerns
  10. Affiliate fraud review or commission eligibility
  11. Delivery partner or service provider performance issues
  12. Prohibited or restricted product concerns
  13. Intellectual property complaints or policy violations
  14. Legal requirements, court, regulator, or law enforcement requests
  15. Payment Processor, bank, card network, or digital wallet requirements
  16. High‑value transactions, new account activity, or related account risk
  17. Platform risk management or other circumstances permitted by MRNMarket policies or applicable law

6. Payment Authorization and Processing (Unique provision from Review & Release Policy)

Payments may be authorised, captured, declined, reversed, refunded, charged back, reviewed, or settled by third‑party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket does not guarantee:

  1. Payment authorisation, capture, settlement, or method availability
  2. Refund timing, payout timing, or chargeback results
  3. Payment processor, bank, card network, digital wallet, or financial institution decisions

Users must comply with all applicable Payment Processor rules, bank requirements, card network rules, digital wallet requirements, MRNMarket policies, and applicable law.

7. Delivery Confirmation & Release Review

Delivery confirmation may affect payment review, payout review, refund review, return review, dispute review, and release procedures.

A payment or payout may remain subject to review, hold, delay, reserve, or restriction until one or more of the following occurs:

  1. The Seller ships the Order and provides valid tracking
  2. Carrier tracking shows delivery, or Buyer confirms delivery
  3. Delivery evidence (proof of delivery, signature confirmation, customs records, etc.) is reviewed
  4. The delivery review period expires without a dispute
  5. Non‑delivery, damaged, missing item, or wrong item claims are resolved
  6. Return or refund issues are resolved, dispute review completed
  7. Payment Processor rules or applicable law permit release
  8. MRNMarket policies otherwise permit release

Delivery confirmation may be based on carrier tracking, delivery partner records, proof of delivery, signature confirmation, Buyer confirmation, Seller evidence, Platform records, customs records, pickup records, or other reliable evidence.

8. Dispute, Refund, Return & Chargeback Holds & Review

If a Buyer opens a dispute, refund request, return request, chargeback, or Buyer Protection claim, related amounts may be held, delayed, reserved, reversed, offset, or restricted until the matter is reviewed or resolved.

MRNMarket may consider:

  1. Buyer and Seller evidence (photos, videos, communications)
  2. Delivery tracking, proof of delivery, return tracking
  3. Payment Processor and chargeback information
  4. Account history, fraud indicators, applicable policies, and law

Chargeback‑related holds may remain in place until the chargeback is resolved by the Payment Processor, bank, or card network, evidence is reviewed, appeal periods expire, or policies permit release.

MRNMarket does not control all chargeback decisions, bank decisions, card network outcomes, or Payment Processor actions.

9. Seller Payout Holds & Review

Seller payouts may be subject to review, hold, delay, reserve, offset, reduction, reversal, or denial where permitted. Reasons include:

  1. Incomplete verification or missing tax documentation
  2. Delayed shipment, missing tracking, delivery not confirmed
  3. Pending Buyer review period, open disputes, refunds, returns, chargebacks
  4. High refund or chargeback rates, performance concerns
  5. Listing violations, prohibited/restricted products, IP complaints
  6. Fraud, sanctions, AML, compliance, or suspicious activity
  7. Related account risk, Payment Processor or legal requirements

A payout shown as pending, available, estimated, or scheduled does not guarantee payout timing, amount, method, or successful transfer.

10. Affiliate Commission Holds & Review

Affiliate commissions may be subject to review, hold, delay, reserve, reversal, reduction, or denial. Reasons include:

  1. Incomplete verification or missing tax documentation
  2. Fake referrals, self‑referrals (where prohibited), bot traffic
  3. Cookie stuffing, forced clicks, hidden links, misleading promotions
  4. Trademark misuse, undisclosed affiliate advertising
  5. Refund, cancellation, or chargeback of referred Orders
  6. Fraud indicators, duplicate commissions, policy violations
  7. Payment Processor or legal requirements

Affiliate tracking does not guarantee commission approval or payout.

11. Delivery Partner & Service Provider Payment Holds & Review

Payments to Delivery Partners or Service Providers may be subject to review, hold, delay, reserve, offset, reduction, reversal, or denial for reasons including:

  1. Incomplete verification, tax documentation issues
  2. Service performance issues, delivery disputes, failed delivery
  3. Missing proof of delivery, user complaints, damage claims
  4. Misconduct, policy violations, compliance concerns
  5. Fraud indicators, Payment Processor or legal requirements

12. Reserves & Risk Controls

MRNMarket or applicable Payment Processors may apply reserves or risk controls to manage potential refunds, chargebacks, disputes, fraud, compliance issues, or other risk.

Reserves may be:

  1. Fixed amount, rolling, percentage‑based
  2. Transaction‑specific, account‑level, category‑specific
  3. Time‑based, risk‑based, or required by Payment Processors, banks, card networks, regulators, or law

Reserve amounts and release timing depend on transaction history, risk level, dispute activity, chargeback rates, verification status, category risk, payment method, Payment Processor rules, and applicable law.

13. Offsets, Reversals & Deductions

Where permitted by applicable law, Payment Processor rules, card network rules, and MRNMarket policies, MRNMarket may offset, reverse, deduct, or withhold amounts related to:

  1. Refunds, returns, chargebacks, chargeback fees, dispute‑related costs
  2. Seller, Affiliate, Delivery Partner, or Service Provider obligations
  3. Lawfully disclosed administrative or processing fees
  4. Unpaid fees, negative balances
  5. Policy violations, fraud, legal or tax obligations
  6. Indemnity obligations or other amounts owed under MRNMarket policies

Any offset, reversal, or deduction is subject to applicable law and non‑waivable rights.

14. Release of Held or Reviewed Amounts

Held or reviewed amounts may be released when MRNMarket, the Payment Processor, or other applicable payment service provider determines that release is permitted under applicable policies, rules, and law.

Release may depend on:

  1. Delivery confirmation, expiration of review period
  2. Resolution of disputes, completion of returns/refunds, chargeback resolution
  3. Verification completion, tax documentation, compliance/sanctions clearance
  4. Risk review, Seller performance, Buyer conduct, Account status
  5. Payment Processor approval, bank/card network/digital wallet rules

Release timing is not guaranteed.

15. User Responsibilities

Users are responsible for:

  1. Providing accurate account information and completing requested verification
  2. Providing required tax documentation
  3. Using lawful payment and payout methods
  4. Avoiding fraud, abuse, and prohibited/restricted activity
  5. Complying with MRNMarket policies and Payment Processor rules
  6. Providing accurate shipment/delivery information
  7. Cooperating with disputes, refunds, returns, and chargebacks
  8. Maintaining accurate records and responding to MRNMarket requests
  9. Complying with applicable law

Failure to comply may result in payment review, hold, delay, reserve, Account restriction, suspension, termination, or other enforcement actions.

16. Notices & Information Requests

MRNMarket may notify Users of payment review, holds, payout delays, refund review, reserve requirements, or release decisions where appropriate.

MRNMarket may request additional information, including:

  1. Identity, business, or tax documents
  2. Shipment records, delivery tracking, proof of delivery
  3. Invoices, product compliance documents
  4. Refund, return, chargeback, or promotional evidence
  5. Bank or payout information, affiliate promotional evidence

MRNMarket may limit or withhold details where disclosure could compromise security, reveal fraud detection methods, interfere with investigations, violate law or third‑party requirements, expose confidential information, or enable policy circumvention.

17. Platform‑Level Decisions

MRNMarket may make Platform‑Level Decisions regarding payment review, holds, payout release, refund review, chargeback support, reserves, commission eligibility, or related matters.

MRNMarket may consider:

  1. Platform records, Payment Processor information
  2. Delivery evidence, User evidence, Account history
  3. Verification status, dispute/chargeback/refund history
  4. Fraud and compliance indicators
  5. Policy and legal requirements, third‑party rules

A Platform‑Level Decision is not a court judgment, arbitral award, or legal determination of liability.

MRNMarket may revise, reverse, or supplement a decision if new evidence, fraud indicators, Payment Processor information, legal requirements, or policy considerations arise.

18. No Guarantee

MRNMarket does not guarantee:

  1. Payment authorisation, capture, settlement, or method availability
  2. Payout timing, payout success, refund approval, settlement timing
  3. Chargeback outcomes, bank/card network/digital wallet decisions
  4. Payment Processor decisions, reserve release timing, dispute outcomes
  5. Delivery success, Seller performance, Buyer conduct
  6. Affiliate commission approval or detection of all fraud, abuse, or prohibited activity

Each matter depends on applicable policies, available evidence, third‑party rules, and applicable law.

19. Relationship With Other Policies

This Policy should be read together with:

  1. Terms & Conditions
  2. Buyer, Seller, Affiliate, Delivery Partner, Service Provider Agreements
  3. Payment & Payout Policy
  4. Buyer Protection, Delivery Confirmation, Refund & Return, Shipping & Delivery Policies
  5. Dispute Resolution & Arbitration Policy
  6. KYC & AML Policy
  7. Acceptable Use, Platform Rules & Governance, Definitions Policy
  8. Other applicable MRNMarket policies

If this Policy conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.

20. Changes to This Policy

MRNMarket may update this Payment Hold, Review & Release Policy from time to time to reflect changes in the Platform, payment processes, applicable law, Payment Processor requirements, marketplace practices, risk controls, operational needs, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means the User acknowledges the updated Policy. Where required by law, MRNMarket may provide additional notice or request consent for material changes.
