1. Introduction
This Buyer Agreement is a legally binding agreement between you, the Buyer, and MRN Global Market LLC, doing business as MRNMarket.
By creating a Buyer account, placing an Order, or using MRNMarket as a Buyer, you agree to this Agreement and all incorporated MRNMarket policies.
2. Incorporated Policies
This Agreement incorporates by reference applicable MRNMarket policies, including:
- Terms & Conditions;
- Privacy Policy;
- Refund & Return Policy;
- Shipping & Delivery Policy;
- Buyer Protection Policy;
- Delivery Confirmation Policy;
- Order Cancellation Policy;
- Payment & Payout Policy;
- Payment Review and Release Policy;
- Acceptable Use Policy;
- KYC & AML Policy;
- Dispute Resolution & Arbitration Policy; and
- other applicable Platform policies.
3. Platform Role
MRNMarket operates primarily as a marketplace technology platform.
Unless a Product or Service is clearly identified as sold by MRNMarket Official Store, MRNMarket does not:
- manufacture products;
- take ownership of goods;
- provide fulfillment services;
- act as the Seller or distributor;
- provide financial services;
- act as a money transmitter;
- act as a licensed escrow provider;
- act as a payment processor; or
- act as a party to the underlying sale contract between Buyer and Seller.
Products are generally sold by independent third-party Sellers.
4. Merchant of Record
For most third-party Listings, the Seller or Service Provider is the Merchant of Record, and the purchase agreement exists directly between the Buyer and the Seller or Service Provider.
MRNMarket is Merchant of Record only where a Listing is clearly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account.
5. Order Placement
By placing an Order, the Buyer agrees to purchase the selected Product or Service under the listed terms, provide accurate delivery information, and authorize payment processing.
Orders may be subject to Seller acceptance, availability, payment authorization, verification review, fraud review, sanctions screening, compliance review, delivery availability, Payment Processor rules, MRNMarket policies, and applicable law.
An Order confirmation does not guarantee that the Order will be accepted, fulfilled, shipped, delivered, refunded, or completed.
6. Seller Handling Time
Sellers are expected to ship Orders within the handling time stated in the applicable Listing.
Failure to ship within the stated handling time may qualify the Order for cancellation or dispute review under applicable MRNMarket policies.
7. Payment Processing
Payments may be processed by licensed, authorized, or approved third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.
MRNMarket does not custody customer funds, operate user bank accounts, provide money transmission services, provide banking services, act as a licensed escrow provider, or act as a payment processor unless expressly stated in writing.
Where permitted by applicable law and Payment Processor rules, payments, refunds, payouts, settlements, or related amounts may be subject to temporary review, hold, delay, reserve, restriction, or release procedures through approved third-party Payment Processors, including for delivery confirmation, fraud prevention, dispute review, chargeback risk, compliance review, or platform risk management.
Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.
8. Delivery Confirmation
Buyers may be required to confirm receipt of delivered Products within the timeframe stated in the Delivery Confirmation Policy.
Failure to confirm delivery or initiate a dispute within the applicable review period may result in platform-level settlement or release procedures under applicable MRNMarket policies and Payment Processor rules.
9. Returns, Cancellations, and Disputes
Buyers may request refunds, returns, or cancellations in accordance with the Refund & Return Policy, Order Cancellation Policy, Buyer Protection Policy, and other applicable policies.
MRNMarket may facilitate platform-level dispute review but is not responsible for Product condition, Seller conduct, or Seller performance unless MRNMarket acts as Merchant of Record for MRNMarket Official Store Listings or where required by applicable law.
MRNMarket may make a platform-level administrative decision regarding dispute eligibility and resolution based on available evidence, Platform records, Payment Processor information, delivery evidence, applicable policies, and applicable law
A Platform-Level Decision is not a court judgment, arbitral award, or legal determination of liability.
Transactions conducted outside the MRNMarket Platform are not eligible for Buyer Protection or platform-level dispute review.
10. Evidence Requirements
To support dispute review, Buyers may be required to provide:
- Order number;
- written explanation of the issue;
- clear photographic or video evidence;
- photos of packaging where damage is claimed;
- carrier tracking information where non-delivery is claimed; and
- other evidence reasonably requested by MRNMarket.
Disputes submitted without required evidence may be denied or closed.
11. Abusive Dispute Conduct
Buyers must not abuse dispute, refund, return, chargeback, or support processes.
Abusive conduct may include:
filing duplicate disputes for the same Order;
filing disputes after the applicable review window has expired;
providing false or misleading evidence;
demanding a refund without returning the item where return is required;
filing disputes to avoid return shipping costs;
making false non-delivery claims;
making false damage claims; or
misusing chargeback procedures.
Buyers who engage in abusive dispute conduct may have disputes denied and Accounts restricted, suspended, or terminated.
12. Return Condition
If a dispute is approved and return is required, the Buyer must return the item according to MRNMarket policies and any applicable instructions.
Unless another policy or applicable law provides otherwise:
- the item should be returned in its original condition with included accessories;
- the item should show no signs of use beyond reasonable inspection;
- the Buyer should use tracked shipping; and
- the Buyer should ship the return within the required return period.
Items returned damaged, incomplete, used beyond inspection, altered, or unsellable may result in reduced refund, refund denial, or dispute denial where permitted by law and policy.
13. Administrative Fees and Abusive Claims
Where permitted by applicable law and clearly disclosed by MRNMarket policies, MRNMarket may apply reasonable administrative, processing, or dispute-related fees for abusive, fraudulent, unsupported, or bad-faith dispute activity.
Any such fee will be subject to applicable law, Payment Processor rules, card network rules, and MRNMarket policies.
14. Chargebacks
If a Buyer initiates a chargeback, MRNMarket may suspend platform-level dispute review for the same Transaction while the chargeback is pending.
Where permitted by applicable law, Payment Processor rules, card network rules, and MRNMarket policies, abusive, fraudulent, or bad-faith chargebacks may result in Account restrictions, loss of access, or recovery of applicable chargeback-related costs.
15. Prohibited Buyer Conduct
Buyers must not:
- provide false delivery confirmations;
- submit fraudulent refund claims;
- abuse return, dispute, or chargeback processes;
- engage in payment fraud;
- use stolen payment methods;
- provide false information;
- harass Sellers or other Users;
- request prohibited off-platform transactions;
- purchase prohibited or restricted Products unlawfully; or
- violate MRNMarket policies or applicable law.
16. Account Suspension or Termination
MRNMarket may suspend, restrict, or terminate Buyer Accounts for fraudulent activity, policy violations, excessive or abusive disputes, legal or compliance risk, payment fraud, chargeback abuse, verification issues, sanctions concerns, or other risk or policy violations.
17. Limitation of Liability
To the maximum extent permitted by applicable law, MRNMarket is not responsible for Seller Products, Seller conduct, Product defects, delivery performance, third-party actions, personal injury, property damage, user-to-user transaction outcomes, Payment Processor decisions, carrier decisions, or Seller fulfillment performance, except where MRNMarket acts as Merchant of Record for MRNMarket Official Store Listings or where liability cannot be excluded under applicable law.
Approved refunds generally will not exceed the amount paid by the Buyer for the affected Product or Service unless otherwise required by applicable law or a controlling policy.
Nothing in this Agreement limits Consumer Rights that cannot legally be waived.
18. Intellectual Property
MRNMarket’s Platform software, branding, trademarks, content, systems, and technology are owned, controlled, or licensed by MRNMarket.
Buyers may not copy, misuse, scrape, reverse engineer, or exploit MRNMarket intellectual property except as permitted by MRNMarket policies or applicable law.
19. Arbitration and Class Action Waiver
Disputes may be subject to the MRNMarket Dispute Resolution & Arbitration Policy.
Where permitted by applicable law, unresolved disputes may be resolved by binding individual arbitration in Missoula, Montana, United States, and may be subject to a class action waiver and jury trial waiver.
Nothing in this Agreement limits rights or remedies that cannot be waived under applicable law.
20. Governing Law
This Agreement is governed by the laws of the State of Montana, United States, without regard to conflict of law rules and without limiting mandatory rights under applicable law.
21. No Warranty
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.
MRNMarket does not guarantee uninterrupted Platform availability, error-free operation, Seller performance, Product quality, delivery success, payment success, refund outcomes, dispute outcomes, or third-party performance.
22. Third-Party Seller Responsibility
Buyers acknowledge that third-party Sellers operate independently.
MRNMarket is not responsible for Seller conduct, Product quality, Product condition, fulfillment, warranties, compliance, or delivery performance unless MRNMarket acts as Merchant of Record for MRNMarket Official Store Listings or where required by applicable law.
23. Assignment
MRNMarket may assign its rights or obligations under this Agreement in connection with a merger, acquisition, restructuring, financing, sale of assets, corporate transaction, change of control, or operation of the Platform.
24. Entire Agreement
This Agreement, together with incorporated MRNMarket policies and transaction-specific terms, forms the agreement between Buyer and MRNMarket regarding Buyer use of the Platform.
25. Updates
MRNMarket may update this Agreement from time to time.
Updated versions will be published on the Platform with a revised effective date or last updated date.
Continued use of the Platform after updates are published means the Buyer acknowledges the updated Agreement.
Where required by law, MRNMarket may provide additional notice or request consent for material changes.
