1. Purpose of This Policy

This Affiliate Payout & Tax Policy explains how affiliate commissions, referral payments, rewards, bonuses, credits, adjustments, reversals, payout review, tax documentation, and related affiliate payment matters may be handled by MRNMarket.

This Policy is intended to support:

1. transparent affiliate payout rules;
2. commission eligibility review;
3. fraud prevention;
4. refund and chargeback review;
5. tax compliance;
6. Payment Processor compliance;
7. affiliate accountability;
8. and lawful affiliate program operations.

This Policy does not guarantee commission approval, payout eligibility, payout timing, payout amount, payout method, payout success, tax treatment, or continued affiliate participation.

If this Policy conflicts with the Affiliate Agreement, Payment & Payout Policy, or another controlling MRNMarket policy, the controlling policy will apply.

3. Affiliate Payout Role Notice

MRNMarket operates primarily as a marketplace technology platform.

Unless expressly stated in writing, MRNMarket is not:

1. a bank;
2. a money transmitter;
3. a licensed escrow provider;
4. a payment processor;
5. a financial institution;
6. a custodian of funds;
7. a financial adviser;
8. a tax adviser;
9. an accounting adviser; or
10. a guarantor of commission, payout, tax, or payment outcomes.

Affiliate payouts may be processed by third-party Payment Processors, banks, card networks, digital wallets, payout providers, financial institutions, or other payment service providers.

Payout review, payout delay, reserve, hold, offset, reversal, commission review, or release procedure does not mean MRNMarket provides escrow, banking, money transmission, payment processing, custody, tax, accounting, or financial advisory services.

4. Commission Eligibility

Affiliate commissions may be earned only if all applicable requirements are satisfied.

Commission eligibility may depend on:

1. approved Affiliate status;
2. valid tracking;
3. approved promotional method;
4. qualifying referral;
5. qualifying Order, signup, lead, or campaign activity;
6. successful payment where applicable;
7. completion of review period;
8. no refund, cancellation, chargeback, fraud, or abuse;
9. compliance with campaign terms;
10. compliance with the Affiliate Agreement;
11. compliance with affiliate policies;
12. completion of verification;
13. required tax documentation;
14. Payment Processor rules;
15. sanctions and compliance review;
16. applicable law; and
17. MRNMarket approval.

Commissions are not earned merely because a link was clicked, a User visited the Platform, or a referral was recorded.

5. Commission Calculation

Commission rates, formulas, categories, payout amounts, attribution windows, campaign terms, bonus structures, and eligibility requirements may vary by campaign, Product, Seller, category, User type, location, promotion, affiliate level, or program stage.

MRNMarket may calculate commissions based on factors such as:

1. qualifying order value;
2. net transaction value;
3. paid amount;
4. excluding taxes;
5. excluding shipping;
6. excluding discounts;
7. excluding refunds;
8. excluding chargebacks;
9. excluding canceled Orders;
10. excluding prohibited Products;
11. excluding fees;
12. campaign-specific commission rules;
13. and other criteria stated in campaign terms or MRNMarket policies.

MRNMarket may change commission rates, formulas, bonus structures, campaign terms, or payout rules where permitted by policy and law.

6. Commission Review Period

Affiliate commissions may be subject to a review period before approval or payout.

The review period may be used to confirm:

1. valid tracking;
2. qualifying referral;
3. qualifying Order or activity;
4. payment completion;
5. delivery confirmation where applicable;
6. refund status;
7. cancellation status;
8. chargeback status;
9. fraud indicators;
10. compliance with promotional rules;
11. disclosure compliance;
12. brand usage compliance;
13. tax documentation;
14. verification status;
15. Payment Processor requirements;
16. and applicable law.

A commission shown as pending, estimated, approved, or eligible does not guarantee payout.

7. Commission Denial, Reversal, Reduction, or Withholding

MRNMarket may deny, reverse, reduce, delay, hold, or withhold commissions where permitted by policy and law.

Reasons may include:

1. invalid tracking;
2. duplicate referrals;
3. self-referrals where prohibited;
4. fake referrals;
5. bot traffic;
6. cookie stuffing;
7. forced clicks;
8. hidden links;
9. unauthorized promotion;
10. misleading claims;
11. disclosure violations;
12. brand misuse;
13. prohibited Products;
14. canceled Orders;
15. refunded Orders;
16. returned Orders;
17. chargebacks;
18. payment failure;
19. fraud indicators;
20. Affiliate policy violations;
21. missing verification;
22. missing tax documentation;
23. Payment Processor requirements;
24. sanctions or compliance concerns;
25. legal requirements;
26. account linkage;
27. or other program risk.

8. Payout Eligibility

Affiliate payout eligibility may require:

1. approved commission status;
2. completed verification;
3. valid payout method;
4. accurate tax information;
5. satisfaction of payout threshold;
6. expiration of applicable review periods;
7. no unresolved fraud, refund, chargeback, or compliance issue;
8. compliance with MRNMarket policies;
9. compliance with Payment Processor rules;
10. and satisfaction of applicable campaign terms.

MRNMarket may deny, delay, restrict, or condition payout eligibility where policy, law, risk review, or Payment Processor rules require or permit.

9. Payout Thresholds

MRNMarket may set minimum payout thresholds before commissions become eligible for payout.

Thresholds may vary by:

1. country;
2. currency;
3. payout method;
4. affiliate level;
5. campaign type;
6. Payment Processor rules;
7. tax requirements;
8. compliance requirements;
9. or program stage.

If an Affiliate does not meet the applicable payout threshold, commissions may remain pending, roll over, expire, or be handled according to campaign terms and MRNMarket policies.

10. Payout Schedule

MRNMarket may establish payout schedules for eligible affiliate commissions.

Payout timing may depend on:

1. review periods;
2. payout thresholds;
3. Payment Processor schedules;
4. bank processing times;
5. digital wallet processing;
6. tax documentation;
7. verification status;
8. fraud review;
9. refund review;
10. chargeback review;
11. compliance review;
12. weekends, holidays, and banking delays;
13. technical issues;
14. and applicable law.

MRNMarket does not guarantee payout timing.

11. Payout Methods

MRNMarket may support certain payout methods, which may vary by location, currency, Affiliate type, verification status, Payment Processor rules, operational readiness, and compliance requirements.

Payout methods may include bank transfer, digital wallet, payment processor payout, or other supported methods.

MRNMarket may approve, reject, limit, suspend, remove, or change payout methods where permitted by policy and law.

Not all payout methods are available to all Affiliates.

12. Payout Holds and Reserves

Affiliate payouts may be subject to review, hold, delay, reserve, restriction, offset, reversal, or denial where permitted by applicable law and policy.

Reasons may include:

1. fraud review;
2. traffic review;
3. commission eligibility review;
4. refund or chargeback review;
5. verification issues;
6. missing tax documentation;
7. sanctions screening;
8. AML or compliance review;
9. Payment Processor requirements;
10. legal requirements;
11. policy violations;
12. account linkage;
13. suspicious activity;
14. unusual commission patterns;
15. or platform risk management.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

13. Offsets, Reversals, and Negative Balances

Where permitted by applicable law, Payment Processor rules, and MRNMarket policies, MRNMarket may offset, reverse, deduct, or withhold affiliate amounts related to:

1. refunds;
2. cancellations;
3. chargebacks;
4. commission reversals;
5. overpayments;
6. duplicate payments;
7. fraud;
8. policy violations;
9. unpaid fees;
10. negative balances;
11. tax withholding where applicable;
12. legal obligations;
13. indemnity obligations;
14. or other amounts owed under MRNMarket policies.

If reversals, refunds, chargebacks, or deductions exceed available commissions, the Affiliate may have a negative balance.

MRNMarket may recover negative balances by offsetting future commissions, requesting repayment, withholding payouts, restricting participation, terminating participation, or taking other lawful actions.

14. Taxes and Tax Documentation

Affiliates are responsible for their own taxes, tax reporting, tax filings, tax forms, tax payments, business registrations, and legal obligations related to affiliate earnings.

MRNMarket may request tax documentation before approving or releasing payouts.

Tax documentation may include:

1. W-9;
2. W-8BEN;
3. W-8BEN-E;
4. tax identification number;
5. business tax information;
6. VAT/GST information where applicable;
7. local tax forms;
8. certifications;
9. withholding information;
10. or other tax-related documentation.

Failure to provide required tax documentation may result in payout delay, payout hold, withholding where applicable, reporting where required, or payout denial where permitted.

MRNMarket does not provide tax, legal, accounting, financial, or professional advice.

15. Withholding and Reporting

MRNMarket may withhold, deduct, report, or remit taxes where required by applicable law, Payment Processor rules, or tax authority requirements.

MRNMarket may issue tax forms, reports, or statements where required by law or business practice.

Affiliates are responsible for reviewing their own tax obligations and obtaining professional advice where needed.

16. Currency and Conversion

Affiliate commissions and payouts may be calculated or paid in supported currencies.

Currency conversion may be subject to:

1. exchange rates;
2. conversion fees;
3. Payment Processor rules;
4. bank fees;
5. digital wallet rules;
6. payout provider rules;
7. user location;
8. payout method;
9. and applicable law.

MRNMarket does not guarantee exchange rates, conversion availability, or currency conversion outcomes.

17. Fraud, Abuse, and Compliance Review

MRNMarket may review affiliate commissions and payouts for fraud, abuse, invalid traffic, misleading promotion, brand misuse, disclosure violations, prohibited Product promotion, data misuse, tax compliance, sanctions compliance, AML compliance, or legal risk.

MRNMarket may request information or documents, including:

1. traffic source details;
2. screenshots;
3. ad records;
4. landing page links;
5. website analytics;
6. campaign reports;
7. email samples;
8. social media links;
9. disclosure examples;
10. payment or payout information;
11. tax documents;
12. identity or business verification documents;
13. referral explanations;
14. proof of user consent where relevant;
15. or other information needed for review.

Failure to provide requested information may result in commission denial, payout delay, payout hold, Account restriction, suspension, termination, or other Enforcement Action.

18. Inactive or Terminated Affiliates

If an Affiliate becomes inactive, suspended, restricted, or terminated, unpaid commissions may be handled according to the Affiliate Agreement, campaign terms, this Policy, Payment Processor rules, and applicable law.

Where permitted, unpaid commissions may be denied, reversed, forfeited, delayed, or withheld if connected to fraud, abuse, invalid referrals, policy violations, missing verification, missing tax documentation, sanctions concerns, or unpaid obligations.

Termination does not affect obligations that arose before termination, including tax obligations, repayment obligations, confidentiality, indemnification, and compliance obligations.

19. No Guarantee

MRNMarket does not guarantee:

1. commission approval;
2. commission amount;
3. payout eligibility;
4. payout timing;
5. payout method;
6. payout success;
7. tracking accuracy;
8. campaign availability;
9. affiliate earnings;
10. tax treatment;
11. continued participation;
12. or continued operation of the affiliate program.

Each commission and payout depends on campaign terms, applicable policies, available records, third-party rules, and applicable law.

20. Changes to This Policy

MRNMarket may update this Affiliate Payout & Tax Policy from time to time to reflect changes in the affiliate program, payment processes, payout processes, tax requirements, Payment Processor requirements, applicable law, marketplace practices, risk controls, operational needs, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued affiliate participation after updates are published means the Affiliate acknowledges the updated Policy.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.
