How MRNMarket Works

A Marketplace Technology Platform Built on Structured Trust

MRNMarket is a multi-vendor digital marketplace platform operated by MRN Global Market LLC, doing business as MRNMarket.

MRNMarket is designed to connect independent Buyers, Sellers, Affiliates, Delivery Partners, and Service Providers through a structured digital commerce environment supported by platform policies, transaction review procedures, delivery confirmation tools, dispute support processes, compliance controls, and third-party payment integrations.

MRNMarket’s goal is to support safer, more transparent, and more reliable marketplace activity while allowing independent participants to buy, sell, promote, deliver, and provide services through the Platform.

Unless a Product or Service is clearly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account, MRNMarket does not manufacture, own, sell, warehouse, fulfill, ship, or take title to goods or services listed by independent Sellers.

1. Marketplace Participants

MRNMarket may involve several types of marketplace participants:

Buyers

Buyers are Users who purchase, attempt to purchase, order, receive, return, refund, or otherwise acquire Products or Services through the Platform.

Sellers

Sellers are independent merchants, vendors, suppliers, store owners, brands, resellers, service providers, or other approved commercial participants who list, offer, sell, supply, fulfill, ship, or provide Products or Services through the Platform.

Affiliates

Affiliates are approved or permitted promotional partners who may promote MRNMarket, Sellers, Products, Services, offers, links, or campaigns in exchange for potential commissions, referral payments, rewards, or other compensation.

Affiliate participation is optional and does not apply to every Transaction.

Delivery Partners and Carriers

Delivery may be supported by Sellers, Delivery Partners, carriers, couriers, postal services, freight providers, warehouse providers, or other logistics providers.

Unless expressly stated in writing, MRNMarket is not the carrier, courier, delivery company, freight provider, warehouse operator, customs broker, importer of record, or exporter of record.

Service Providers

Service Providers may support MRNMarket, Sellers, Buyers, Affiliates, Delivery Partners, or Platform operations through technology, support, fulfillment, compliance, verification, payment-related, marketing, or operational services.

2. Marketplace Transaction Flow

Transactions conducted through MRNMarket generally follow this process:

1. Seller onboarding and review
2. An independent Seller may apply to sell on MRNMarket and may be subject to identity, business, tax, payout, product category, sanctions, fraud, or compliance review.
3. Product or Service Listing
4. The Seller creates a Listing for a Product or Service. The Seller is responsible for the accuracy, legality, safety, pricing, availability, specifications, images, warranty statements, delivery terms, and return terms of the Listing.
5. Optional Affiliate Promotion
6. An Affiliate may promote eligible Listings, Sellers, campaigns, or Platform activity through approved tracking links, referral codes, or promotional channels.
7. Buyer Order Placement
8. A Buyer reviews the Listing, selects a Product or Service, provides required information, and places an Order through the Platform.
9. Payment Processing
10. Payment may be processed by licensed, authorized, or approved third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.
11. Payment Review and Release
12. The Transaction may be subject to temporary payment review, hold, delay, reserve, restriction, offset, reversal, or release procedures where permitted by applicable law, Payment Processor rules, and MRNMarket policies.
13. Seller Fulfillment
14. The Seller fulfills and ships the Order according to the Listing terms, stated handling time, applicable policies, shipping rules, and applicable law.
15. Delivery Confirmation
16. Delivery may be confirmed through carrier tracking, delivery partner records, proof of delivery, signature confirmation, Buyer confirmation, Seller evidence, Platform records, customs records, pickup records, or other reliable evidence.
17. Buyer Review Period
18. The Buyer may have an applicable review period to confirm delivery, report non-delivery, report damage, report missing or wrong items, request return or refund review, or open a dispute under applicable policies.
19. Payout Eligibility
20. If applicable requirements are satisfied, Seller payout may become eligible for release through the relevant Payment Processor or payout provider.
21. Affiliate Commission Review
22. Where applicable, Affiliate commissions may be reviewed and issued if tracking, eligibility, verification, tax documentation, campaign terms, fraud review, refund status, chargeback status, and MRNMarket policies are satisfied.

3. MRNMarket’s Role

MRNMarket operates primarily as a marketplace technology platform.

MRNMarket may provide:

1. marketplace infrastructure;
2. account tools;
3. Seller tools;
4. Buyer tools;
5. Affiliate tools;
6. Listing tools;
7. communication tools;
8. payment integrations;
9. delivery confirmation tools;
10. refund and return review tools;
11. dispute support tools;
12. compliance tools;
13. verification tools;
14. fraud prevention tools;
15. risk review systems;
16. support channels; and
17. platform-level administrative processes.

These tools help support marketplace operations, but they do not make MRNMarket the Seller, carrier, payment processor, escrow provider, bank, or legal party responsible for independent Seller Transactions.

4. What MRNMarket Is Not

Unless expressly stated in writing or unless a Product or Service is clearly identified as sold by MRNMarket Official Store, MRNMarket is not:

1. the Seller;
2. the Buyer;
3. the manufacturer;
4. the supplier;
5. the warehouse operator;
6. the carrier;
7. the courier;
8. the freight provider;
9. the delivery company;
10. the importer of record;
11. the exporter of record;
12. the customs broker;
13. the Merchant of Record;
14. a bank;
15. a money transmitter;
16. a licensed escrow provider;
17. a payment processor;
18. a financial institution;
19. a custodian of funds;
20. a financial adviser;
21. a legal adviser;
22. a tax adviser;
23. a guarantor of Seller performance;
24. a guarantor of Product quality;
25. a guarantor of delivery success; or
26. a party to the underlying sale contract between Buyer and independent Seller.

For most third-party Listings, the purchase contract is formed directly between the Buyer and the independent Seller or Service Provider.

5. MRNMarket Official Store

A Product or Service is sold by MRNMarket only if it is clearly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account.

A Product or Service is not sold by MRNMarket merely because it appears on the Platform.

Where a Product or Service is sold by MRNMarket Official Store, MRNMarket may act as Seller or Merchant of Record for that specific Transaction, and the applicable MRNMarket Official Store terms, refund rules, warranties, and policies will apply.

6. Merchant of Record

For most third-party Listings, the independent Seller or Service Provider acts as the Merchant of Record.

This means the Seller or Service Provider is generally responsible for:

1. Product or Service quality;
2. Product descriptions;
3. pricing;
4. fulfillment;
5. shipping;
6. delivery obligations;
7. refunds;
8. returns;
9. warranties;
10. taxes;
11. customs obligations;
12. product compliance;
13. customer obligations; and
14. legal compliance.

MRNMarket acts as Merchant of Record only where the Transaction is clearly identified as sold by MRNMarket Official Store or another official MRNMarket-operated account.

7. Payments and Payment Review

Payments, refunds, chargebacks, payouts, settlements, reserves, and related payment activities may be processed by third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket does not:

1. custody customer funds;
2. operate user bank accounts;
3. provide money transmission services;
4. provide banking services;
5. act as a licensed escrow provider;
6. act as a payment processor unless expressly stated in writing;
7. provide financial advisory services; or
8. guarantee Payment Processor, bank, card network, digital wallet, or financial institution outcomes.

Where permitted by applicable law and Payment Processor rules, payments, refunds, payouts, settlements, commissions, or related amounts may be subject to temporary review, hold, delay, reserve, restriction, offset, reversal, or release procedures.

These procedures may be used for reasons including:

1. delivery confirmation;
2. fraud prevention;
3. chargeback risk;
4. dispute review;
5. refund review;
6. return review;
7. compliance review;
8. sanctions screening;
9. Seller performance;
10. Buyer conduct;
11. Affiliate fraud review;
12. account verification;
13. tax documentation review;
14. legal requirements;
15. Payment Processor requirements; or
16. platform risk management.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

8. Shipping and Delivery

Unless expressly stated otherwise, independent Sellers are responsible for fulfilling and shipping Orders.

Shipping and delivery may involve:

1. Sellers;
2. Delivery Partners;
3. postal services;
4. couriers;
5. freight providers;
6. carriers;
7. warehouse providers;
8. customs authorities;
9. import/export agents where applicable; or
10. other third-party logistics providers.

MRNMarket may provide delivery-related tools, tracking support, delivery confirmation review, dispute support, and administrative assistance.

However, MRNMarket does not guarantee delivery success, delivery timing, carrier performance, customs clearance, or Seller fulfillment unless required by applicable law or expressly stated in a controlling policy.

9. Delivery Confirmation

Delivery may be confirmed using one or more forms of evidence, including:

1. carrier tracking;
2. courier records;
3. postal service records;
4. freight records;
5. proof of delivery;
6. signature confirmation;
7. delivery photographs;
8. delivery scan data;
9. GPS or location information where available;
10. Buyer confirmation;
11. Seller evidence;
12. customs or import records;
13. pickup records;
14. Platform records;
15. communication records; or
16. other reliable evidence.

Delivery confirmation may affect:

1. payment review;
2. payout review;
3. refund review;
4. return review;
5. Buyer Protection review;
6. dispute review;
7. Seller performance review; and
8. Platform-Level Decisions.

Delivery confirmation is a platform-level administrative process and is not a court judgment, arbitral award, or legal determination of liability.

10. Refunds, Returns, and Buyer Protection

MRNMarket may provide platform-level review for certain Buyer issues, including:

1. Seller did not ship within the stated handling time;
2. Product was not delivered;
3. Product arrived damaged;
4. wrong item was delivered;
5. Product was incomplete;
6. Product was materially different from the Listing;
7. refund or return issue occurred;
8. delivery confirmation is disputed; or
9. another issue qualifies under applicable MRNMarket policies.

Refunds, returns, exchanges, replacements, credits, adjustments, and Buyer Protection review are subject to:

1. Refund & Return Policy;
2. Buyer Protection Policy;
3. Delivery Confirmation Policy;
4. Shipping & Delivery Policy;
5. Payment Review and Release Policy;
6. Seller policy;
7. Product or Service type;
8. delivery status;
9. return condition;
10. evidence review;
11. Payment Processor rules;
12. card network rules;
13. bank procedures;
14. fraud review;
15. compliance review;
16. and applicable law.

MRNMarket does not guarantee refund approval, return approval, replacement approval, chargeback success, dispute outcome, Seller performance, Product quality, or delivery success.

11. Dispute Handling

MRNMarket may provide platform-level dispute support for certain matters involving:

1. Orders;
2. Transactions;
3. delivery;
4. refunds;
5. returns;
6. chargebacks;
7. payouts;
8. commissions;
9. Seller performance;
10. Buyer conduct;
11. Affiliate activity;
12. Listings;
13. Account restrictions;
14. policy enforcement; or
15. other Platform activity.

Dispute review services provided by MRNMarket are administrative in nature.

They are not:

1. court proceedings;
2. arbitration;
3. legal adjudication;
4. legal judgments;
5. arbitral awards; or
6. binding legal determinations of liability.

MRNMarket may make Platform-Level Decisions based on available evidence, Platform records, User communications, Payment Processor information, delivery evidence, applicable policies, and applicable law.

A Platform-Level Decision may be revised, reversed, or supplemented if new evidence, fraud indicators, Payment Processor information, carrier information, legal requirements, or policy considerations arise.

12. Compliance and Security

MRNMarket may use structured safeguards to support safer marketplace activity, including:

1. identity verification;
2. business verification;
3. KYC review;
4. KYB review;
5. AML review;
6. sanctions screening;
7. transaction monitoring;
8. fraud prevention tools;
9. risk scoring systems;
10. Seller verification;
11. Affiliate verification;
12. payment review;
13. payout review;
14. delivery confirmation review;
15. dispute review;
16. account review; and
17. policy-based enforcement.

These safeguards are designed to reduce risk and support marketplace integrity, but they do not guarantee fraud prevention, Seller performance, Buyer conduct, Product quality, transaction success, legal compliance, or absence of prohibited activity.

13. Off-Platform Transactions

Transactions conducted outside MRNMarket are not eligible for MRNMarket Buyer Protection, platform-level dispute review, payment review support, refund review support, delivery confirmation review, or payout support.

Users should not use MRNMarket communication tools to request, encourage, or complete prohibited off-platform payments, sales, refunds, returns, delivery arrangements, commissions, or disputes.

MRNMarket is not responsible for off-platform communications, private arrangements, direct payments, external links, or Transactions not recorded in MRNMarket systems.

14. Affiliate Activity

Affiliate participation is optional.

Affiliates may promote eligible Listings, Sellers, Products, Services, campaigns, or Platform activity through approved promotional methods.

Affiliate commissions may be reviewed, denied, reversed, delayed, or withheld where applicable for reasons including:

1. invalid tracking;
2. duplicate referrals;
3. fake referrals;
4. self-referrals where prohibited;
5. bot traffic;
6. cookie stuffing;
7. forced clicks;
8. hidden links;
9. misleading claims;
10. disclosure violations;
11. brand misuse;
12. prohibited Product promotion;
13. canceled Orders;
14. refunded Orders;
15. chargebacks;
16. fraud indicators;
17. missing verification;
18. missing tax documentation;
19. sanctions concerns;
20. Payment Processor requirements;
21. or policy violations.

Affiliate tracking does not guarantee commission approval, payout eligibility, payout timing, payout amount, or payout success.

15. Platform Operational Authority

MRNMarket may take platform-level administrative actions to maintain marketplace integrity, reduce risk, protect Users, support compliance, and enforce policies.

These actions may include:

1. reviewing or restricting Accounts;
2. reviewing or restricting Transactions;
3. reviewing or removing Listings;
4. requesting information or documentation;
5. applying Payment Review and Release procedures;
6. delaying or restricting payouts where permitted;
7. issuing refund instructions where permitted;
8. restricting communications;
9. suspending Listings;
10. suspending Accounts;
11. terminating Accounts;
12. reversing commissions where permitted;
13. reporting activity where permitted or required;
14. preserving records; and
15. taking other actions permitted by MRNMarket policies and applicable law.

MRNMarket is not required to take the same action in every case and may consider risk, severity, history, evidence, intent, legal obligations, third-party requirements, operational needs, and platform integrity.

16. Pilot, Beta, and Limited-Release Phases

MRNMarket may operate certain services under pilot, beta, limited-release, controlled-access, or testing phases.

During such periods:

1. participation may be restricted;
2. Seller approval may be limited;
3. Buyer access may be limited;
4. transaction values may be restricted;
5. product categories may be restricted;
6. payment review may involve manual review;
7. delivery review may involve manual review;
8. dispute review may involve manual review;
9. automation may be limited;
10. response times may vary;
11. platform protections may evolve;
12. features may be introduced, modified, restricted, suspended, or discontinued; and
13. Platform functionality may be adjusted according to development priorities, operational readiness, risk controls, compliance requirements, or business needs.

Pilot participation is not guaranteed.

Future features, roadmap statements, expansion plans, or automation plans are informational only and do not create binding commitments, warranties, guarantees, or obligations.

17. No Guarantees

MRNMarket does not guarantee:

1. uninterrupted Platform access;
2. error-free Platform operation;
3. transaction success;
4. Seller performance;
5. Buyer conduct;
6. Product quality;
7. Product authenticity;
8. delivery success;
9. delivery timing;
10. customs clearance;
11. payment authorization;
12. payout timing;
13. refund approval;
14. return approval;
15. replacement approval;
16. chargeback success;
17. dispute outcome;
18. Affiliate commission approval;
19. Listing accuracy;
20. third-party service performance;
21. or detection of every fraud, abuse, violation, or prohibited activity.

Each marketplace activity depends on applicable policies, available evidence, third-party rules, Payment Processor rules, User conduct, operational conditions, and applicable law.

18. Policies Control

Use of MRNMarket is subject to the Platform’s Terms & Conditions and applicable policies.

These may include:

5. Buyer Agreement;
6. Buyer Terms & Conditions;
7. Buyer Protection Policy;
8. Seller Agreement;

12. Shipping & Delivery Policy;
13. Delivery Confirmation Policy;
14. Refund & Return Policy;
15. Payment & Payout Policy;
16. Payment Review and Release Policy;
17. Communication Policy;
18. KYC & AML Policy;
19. Dispute Resolution & Arbitration Policy;
20. Affiliate Agreement;
21. Affiliate Policy;
22. Affiliate Disclosure Guidelines;
