1. Purpose of This Agreement

This Seller Agreement explains the terms that apply when a Seller lists, offers, markets, sells, supplies, fulfills, ships, delivers, or provides Products or Services through MRNMarket.

This Agreement applies to all Sellers and to any User acting as a Seller.

By creating a Seller account, submitting a Listing, offering Products or Services, accepting Orders, or using the Platform as a Seller, you agree to this Agreement and all applicable MRNMarket policies.

2. Incorporated Policies

This Agreement should be read together with and incorporates by reference applicable MRNMarket policies, including:

1. Terms & Conditions;
2. Definitions Policy;
3. Privacy Policy;
4. Seller Verification Policy;
5. Listing Policy;
6. Prohibited Products Policy;
7. Shipping & Delivery Policy;
8. Delivery Confirmation Policy;
9. Refund & Return Policy;
10. Buyer Protection Policy;
11. Payment & Payout Policy;
12. Payment Review and Release Policy;
13. KYC & AML Policy;
14. Acceptable Use Policy;
15. Communication Policy;
16. Seller Performance Standards;
17. Seller Privacy / Buyer Data Handling Policy;
18. Intellectual Property Policy;
19. DMCA / IP Takedown Policy;
20. Dispute Resolution & Arbitration Policy;
21. Platform Rules & Governance Policy; and
22. other applicable MRNMarket policies.

3. MRNMarket’s Marketplace Role

MRNMarket operates primarily as a marketplace technology platform.

Unless a Product or Service is expressly identified as sold by MRNMarket Official Store, MRNMarket is generally not:

1. the Seller;
2. the Buyer;
3. the manufacturer;
4. the supplier;
5. the warehouse operator;
6. the carrier;
7. the delivery company;
8. the importer of record;
9. the exporter of record;
10. the customs broker;
11. the Merchant of Record;
12. a bank;
13. a money transmitter;
14. a licensed escrow provider;
15. a payment processor;
16. a financial institution;
17. a tax adviser;
18. a legal adviser; or
19. a party to the underlying sale contract between Buyer and Seller.

For most third-party Listings, the Seller is responsible for Products, Services, Listings, pricing, descriptions, fulfillment, delivery obligations, warranties, returns, refunds, taxes, Product compliance, legal compliance, and customer obligations.

MRNMarket may provide marketplace infrastructure, account tools, listing tools, payment integrations, communication tools, dispute tools, verification tools, compliance tools, administrative tools, and platform-level support. Providing these tools does not make MRNMarket responsible for Seller Products, Seller conduct, Seller warranties, Seller fulfillment, Product compliance, tax obligations, payment processor outcomes, delivery performance, customs clearance, or user-to-user transaction outcomes, except where required by applicable law.

4. Seller Eligibility

To use the Platform as a Seller, you must:

1. meet the eligibility requirements in the Terms & Conditions;
2. provide accurate and current account information;
3. complete any required identity, business, tax, payment, ownership, or compliance verification;
4. have legal authority to sell the Products or Services offered;
5. comply with applicable laws and MRNMarket policies;
6. comply with Payment Processor requirements;
7. not be prohibited under sanctions, export control, anti-terrorism, AML, fraud prevention, or other legal requirements;
8. have authority to bind any business or legal entity you represent; and
9. maintain any required licenses, permits, approvals, registrations, insurance, certifications, or documentation.

MRNMarket may approve, reject, limit, suspend, or terminate Seller access where permitted by policy and law.

5. Seller Verification

Sellers may be required to complete identity, business, tax, payment, location, ownership, beneficial ownership, product category, compliance, risk, or document review.

MRNMarket or third-party providers may request:

1. legal name;
2. business name;
3. trade name or DBA;
4. contact information;
5. address;
6. government identification;
7. business registration documents;
8. tax identification information;
9. ownership information;
10. beneficial owner information;
11. representative authority;
12. bank or payout information;
13. product compliance documents;
14. licenses or permits;
15. insurance information;
16. supplier information;
17. invoices;
18. proof of inventory;
19. source of goods information;
20. sanctions screening information;
21. fraud review information; and
22. other information reasonably required by MRNMarket, Payment Processors, or applicable law.

Verification does not guarantee Seller performance, Product quality, delivery success, legal compliance, transaction outcome, payment success, payout success, or absence of fraud.

6. Seller Responsibilities

Sellers are responsible for:

1. accurate Listings;
2. lawful Products and Services;
3. Product quality and safety;
4. pricing and availability;
5. fulfillment and shipping;
6. delivery obligations;
7. warranties and customer obligations;
8. refunds, returns, exchanges, and cancellations where required;
9. taxes, duties, customs, import/export obligations, and Product compliance;
10. licenses, permits, certifications, labeling, documentation, age restrictions, and safety approvals;
11. responding to Buyers and MRNMarket;
12. complying with Seller Performance Standards;
13. protecting Buyer Personal Data;
14. complying with Payment Processor rules;
15. cooperating with disputes, chargebacks, refunds, returns, delivery review, and compliance review;
16. maintaining accurate records; and
17. complying with all applicable policies and laws.

Sellers remain responsible for their own Products, Services, Listings, conduct, business operations, representatives, employees, contractors, suppliers, tax obligations, and legal obligations.

7. Listings

Sellers must ensure that Listings are accurate, complete, lawful, and not misleading.

Listings must accurately describe:

1. Product or Service;
2. condition;
3. specifications;
4. quantity;
5. price;
6. availability;
7. delivery terms;
8. handling time;
9. return conditions;
10. warranty information where applicable;
11. restrictions;
12. compatibility;
13. required documentation;
14. and other material terms.

Sellers must not submit Listings that are false, deceptive, infringing, unsafe, counterfeit, illegal, sanctioned, manipulated, incomplete, or otherwise prohibited.

MRNMarket may review, reject, edit, remove, restrict, disable, rank, de-rank, hide, label, or moderate Listings where permitted by policy or law.

MRNMarket does not guarantee Listing visibility, ranking, traffic, impressions, clicks, sales, conversions, or revenue.

8. Product Compliance

Sellers are solely responsible for ensuring that Products and Services comply with all applicable laws, standards, restrictions, and requirements.

Seller responsibilities may include:

1. product safety compliance;
2. labeling;
3. warnings;
4. instructions;
5. age restrictions;
6. testing and certification;
7. consumer protection requirements;
8. warranty obligations;
9. environmental requirements;
10. customs requirements;
11. import/export laws;
12. sanctions laws;
13. intellectual property rights;
14. privacy laws where applicable;
15. regulated product requirements;
16. industry standards;
17. and category-specific requirements.

MRNMarket may request documentation and may restrict, remove, or suspend Products or Sellers that create legal, safety, compliance, or platform risk.

9. Prohibited and Restricted Products

Sellers must comply with the Prohibited Products Policy, Listing Policy, Acceptable Use Policy, and all applicable laws.

Sellers must not list, sell, promote, ship, fulfill, or support Products or Services that are:

1. illegal;
2. unsafe;
3. counterfeit;
4. infringing;
5. stolen;
6. fraudulent;
7. deceptive;
8. sanctioned;
9. hazardous without authorization;
10. recalled;
11. restricted without approval;
12. regulated without required licenses or permits;
13. harmful to Users or the public;
14. or otherwise prohibited by MRNMarket policies or applicable law.

Restricted Products may be sold only if all legal, licensing, documentation, product safety, category approval, age verification, shipping, customs, and MRNMarket approval requirements are satisfied.

10. Order Fulfillment

Sellers are responsible for fulfilling Orders according to the Listing, applicable Seller policies, MRNMarket policies, and applicable law.

Sellers must:

1. confirm or process Orders where required;
2. ship within the stated handling time;
3. provide valid tracking where required;
4. package Products properly;
5. use accurate delivery information;
6. use lawful and appropriate shipping methods;
7. comply with delivery restrictions;
8. respond to Buyer inquiries;
9. notify MRNMarket or the Buyer of fulfillment issues where required;
10. and cooperate with delivery review.

Failure to fulfill Orders properly may result in cancellation, refund review, payout delay, Seller performance review, Listing restriction, Account restriction, or other Enforcement Action.

11. Shipping and Delivery

Unless expressly stated otherwise, Sellers are responsible for shipping Products to Buyers.

Sellers must comply with the Shipping & Delivery Policy and Delivery Confirmation Policy.

Sellers are responsible for:

1. accurate handling times;
2. valid tracking where required;
3. packaging suitable for transit;
4. correct shipping labels;
5. carrier compliance;
6. shipping restrictions;
7. customs, import, and export requirements where applicable;
8. delivery evidence;
9. and cooperation with delivery disputes.

MRNMarket is not the carrier, delivery company, customs broker, importer of record, or exporter of record unless expressly stated in writing.

12. Returns, Refunds, and Cancellations

Sellers must comply with the Refund & Return Policy, Buyer Protection Policy, Order Cancellation Policy, Seller policy, applicable laws, and any transaction-specific terms.

Sellers may be responsible for refunds, returns, exchanges, replacements, credits, chargebacks, cancellations, or adjustments where:

1. the Product is not delivered;
2. the Product is damaged;
3. the Product is defective;
4. the wrong item is delivered;
5. the Product is materially not as described;
6. required parts or accessories are missing;
7. the Seller fails to ship within stated handling time;
8. Seller policy allows return;
9. applicable law requires a remedy;
10. MRNMarket Buyer Protection applies;
11. or MRNMarket policies require action.

Sellers must cooperate with refund, return, dispute, and chargeback review.

13. Payment Processing and Payouts

Payments, refunds, chargebacks, holds, reversals, payouts, settlements, reserves, and related payment activities may be processed by third-party Payment Processors, banks, card networks, digital wallets, financial institutions, or other payment service providers.

MRNMarket is not a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser unless expressly stated in writing.

Seller payouts may be subject to:

1. Payment Processor rules;
2. account verification;
3. tax documentation;
4. MRNMarket policies;
5. applicable fees;
6. chargebacks;
7. refunds;
8. reserves;
9. offsets;
10. disputes;
11. delivery confirmation;
12. Seller performance;
13. compliance review;
14. sanctions screening;
15. legal requirements; and
16. applicable law.

MRNMarket does not guarantee payout timing, payout amount, payout method, or payout success.

14. Payment Review, Holds, Reserves, and Release

Where permitted by applicable law and Payment Processor rules, Seller payouts, refunds, settlements, or related amounts may be subject to temporary review, hold, delay, reserve, restriction, offset, reversal, or release procedures.

Reasons may include:

1. delivery confirmation;
2. pending shipment;
3. missing tracking;
4. delayed shipment;
5. refund review;
6. return review;
7. dispute review;
8. chargeback risk;
9. fraud prevention;
10. suspicious activity;
11. account verification;
12. tax documentation review;
13. sanctions screening;
14. AML or compliance review;
15. Seller performance concerns;
16. Buyer conduct concerns;
17. prohibited or restricted Product concerns;
18. intellectual property complaints;
19. Payment Processor requirements;
20. legal requirements;
21. unusual transaction patterns;
22. high refund or chargeback rates;
23. or platform risk management.

Payment Review and Release or Payment Holds do not mean MRNMarket acts as a bank, money transmitter, licensed escrow provider, payment processor, financial institution, custodian of funds, or financial adviser.

15. Fees, Taxes, and Records

Sellers are responsible for all applicable fees, taxes, duties, customs charges, assessments, reporting obligations, tax forms, invoices, business records, and legal compliance related to their sales and business activity.

MRNMarket may deduct or offset fees, refunds, chargebacks, commission reversals, administrative charges where lawfully disclosed, negative balances, or other amounts owed under MRNMarket policies where permitted by law and Payment Processor rules.

MRNMarket does not provide tax, legal, customs, accounting, or financial advice.

Sellers should maintain accurate records and obtain professional advice where needed.

16. Buyer Data and Privacy

Sellers may receive Buyer Personal Data only for permitted Platform-related purposes, such as fulfilling Orders, delivery, customer service, refunds, returns, or legal compliance.

Sellers must:

1. use Buyer data only for permitted purposes;
2. protect Buyer data;
3. avoid unauthorized sharing, selling, or misuse;
4. comply with privacy and data protection laws;
5. comply with the Seller Privacy / Buyer Data Handling Policy;
6. delete or return Buyer data where required;
7. notify MRNMarket of suspected unauthorized access or disclosure where required;
8. and not use Buyer data for unrelated marketing unless expressly permitted by law and policy.

17. Communications

Sellers must communicate honestly, professionally, and only for permitted Platform-related purposes.

Sellers must not:

1. harass or threaten Buyers;
2. send spam or phishing messages;
3. request prohibited off-platform payments;
4. pressure Buyers to withdraw disputes;
5. manipulate reviews or ratings;
6. make false promises;
7. provide misleading information;
8. misuse Buyer data;
9. impersonate MRNMarket;
10. or violate the Communication Policy.

MRNMarket may review communications where permitted by law and policy for safety, dispute review, fraud prevention, compliance, and enforcement.

18. Reviews and Ratings

Sellers must not manipulate reviews or ratings.

Prohibited conduct includes:

1. fake reviews;
2. paid reviews without disclosure;
3. review swapping;
4. review suppression;
5. retaliation against Buyers for reviews;
6. offering compensation for positive reviews;
7. asking Buyers to change truthful reviews through pressure or threats;
8. posting competitor sabotage reviews;
9. using bots or fake accounts;
10. or otherwise manipulating feedback systems.

MRNMarket may remove, restrict, label, or moderate reviews where permitted by policy or law.

19. Intellectual Property

Sellers must not list, sell, upload, or use content that infringes intellectual property rights, including copyrights, trademarks, patents, designs, trade secrets, publicity rights, or other proprietary rights.

Sellers represent that they have all rights necessary to use Product images, descriptions, brand names, logos, trademarks, documents, and other Listing content.

MRNMarket may remove Listings, restrict Accounts, process IP complaints, or take repeat-infringer enforcement action under the Intellectual Property Policy and DMCA / IP Takedown Policy.

20. Seller Content License

By submitting Listings, images, descriptions, logos, trademarks, documents, promotional material, or other content to the Platform, the Seller grants MRNMarket a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, copy, reproduce, display, publish, distribute, modify, adapt, translate, and otherwise process that content for purposes of operating, promoting, improving, securing, supporting, and enforcing the Platform and MRNMarket policies.

The Seller represents that it has the necessary rights to grant this license.

21. Seller Performance

MRNMarket may monitor Seller performance based on:

1. fulfillment rate;
2. on-time shipment;
3. valid tracking;
4. delivery performance;
5. cancellation rate;
6. refund rate;
7. return rate;
8. chargeback rate;
9. dispute rate;
10. Buyer complaints;
11. Listing accuracy;
12. communication quality;
13. Product quality;
14. policy compliance;
15. and other marketplace performance indicators.

Failure to meet Seller Performance Standards may result in listing restrictions, payout review, account limitations, suspension, termination, or other Enforcement Actions.

22. Seller Warranties and Representations

Seller represents and warrants that:

1. Seller has authority to enter into this Agreement;
2. Seller information is accurate and current;
3. Seller has legal right to sell listed Products or Services;
4. Listings are accurate and lawful;
5. Products are genuine and not counterfeit;
6. Products comply with applicable laws and standards;
7. Products do not infringe third-party rights;
8. Seller will fulfill Orders properly;
9. Seller will comply with refund and return obligations;
10. Seller will protect Buyer data;
11. Seller will comply with MRNMarket policies and applicable law; and
12. Seller will not engage in fraud, abuse, sanctions evasion, money laundering, or prohibited conduct.

23. Indemnification

To the maximum extent permitted by applicable law, Seller agrees to defend, indemnify, and hold harmless MRNMarket and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising from or relating to:

1. Seller Products or Services;
2. Seller Listings;
3. Seller Content;
4. Seller warranties or representations;
5. Product defects;
6. product liability claims;
7. personal injury or property damage;
8. fulfillment, shipping, or delivery issues;
9. refunds, returns, chargebacks, or disputes;
10. taxes, duties, customs, or regulatory obligations;
11. intellectual property infringement;
12. privacy or data protection violations;
13. Seller’s breach of this Agreement or MRNMarket policies;
14. Seller’s violation of applicable law;
15. Seller’s fraud, negligence, or misconduct;
16. Seller’s suppliers, employees, contractors, agents, or representatives; or
17. Seller’s disputes with Buyers or third parties.

MRNMarket may control the defense of any matter subject to indemnification, and Seller agrees to cooperate with MRNMarket’s defense.

24. Enforcement

MRNMarket may take Enforcement Actions if Seller violates this Agreement, MRNMarket policies, Payment Processor rules, third-party requirements, or applicable law.

Enforcement Actions may include:

1. warnings;
2. requests for information;
3. Listing removal;
4. Listing restriction;
5. ranking or visibility reduction;
6. feature limits;
7. communication restrictions;
8. Order cancellation;
9. refund instructions;
10. payout review;
11. payout delay, hold, reduction, reversal, offset, or denial where permitted;
12. account restriction;
13. account suspension;
14. account termination;
15. commission reversal;
16. reporting to Payment Processors, banks, card networks, regulators, law enforcement, rights owners, affected Users, or other relevant parties where permitted or required;
17. record preservation;
18. and other actions permitted by policy and law.

MRNMarket is not required to apply the same action in every case and may consider risk, severity, history, evidence, intent, legal obligations, operational needs, and platform integrity.

25. Suspension and Termination

MRNMarket may restrict, suspend, or terminate Seller access if:

1. Seller violates this Agreement or MRNMarket policies;
2. verification is incomplete or failed;
3. Seller provides false or misleading information;
4. Seller lists prohibited or restricted Products without approval;
5. Seller fails to fulfill Orders;
6. Seller has excessive disputes, refunds, returns, or chargebacks;
7. Seller performance is unacceptable;
8. fraud, sanctions, AML, or compliance concerns arise;
9. intellectual property complaints arise;
10. Payment Processor rules require action;
11. Seller creates legal, financial, operational, reputational, or platform risk;
12. or applicable law requires or permits action.

Termination does not affect obligations that arose before termination or provisions that should survive, including payment obligations, refunds, chargebacks, taxes, confidentiality, data protection, intellectual property, indemnification, limitation of liability, dispute terms, and enforcement rights.

26. Limitation of Liability

To the maximum extent permitted by applicable law, MRNMarket is not liable for Seller’s lost profits, lost revenue, lost business, loss of goodwill, loss of data, indirect damages, incidental damages, special damages, consequential damages, exemplary damages, punitive damages, or damages arising from Seller Products, Seller conduct, Seller performance, delivery issues, Payment Processor decisions, Account restrictions, Listing restrictions, ranking changes, payout delays, or enforcement actions.

Nothing in this Agreement limits liability that cannot legally be limited under applicable law.

27. Dispute Resolution and Arbitration

Disputes may be subject to the MRNMarket Dispute Resolution & Arbitration Policy.

Where permitted by applicable law, unresolved disputes may be resolved by binding individual arbitration in Missoula, Montana, United States, and may be subject to a class action waiver and jury trial waiver.

Nothing in this Agreement limits rights or remedies that cannot be waived under applicable law.

28. Governing Law

This Agreement is governed by the laws of the State of Montana, United States, without regard to conflict of law rules and without limiting mandatory rights under applicable law.

29. No Warranty

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

MRNMarket does not guarantee uninterrupted Platform access, error-free operation, Listing visibility, ranking, traffic, sales, conversions, payment success, payout timing, refund outcomes, dispute outcomes, Seller performance, Buyer conduct, delivery success, or third-party performance.

30. Assignment

MRNMarket may assign its rights or obligations under this Agreement in connection with a merger, acquisition, restructuring, financing, sale of assets, corporate transaction, change of control, or operation of the Platform.

Seller may not assign this Agreement without MRNMarket’s prior written consent.

31. Changes to This Agreement

MRNMarket may update this Seller Agreement from time to time to reflect changes in the Platform, applicable law, Payment Processor requirements, marketplace practices, seller programs, risk controls, operational needs, or other policies.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued use of the Platform after updates are published means the Seller acknowledges the updated Agreement.

Where required by law, MRNMarket may provide additional notice or request consent for material changes.

32. Policy Hierarchy

This Agreement should be read together with the MRNMarket Terms & Conditions, Definitions Policy, Privacy Policy, Seller Verification Policy, Listing Policy, Prohibited Products Policy, Shipping & Delivery Policy, Delivery Confirmation Policy, Refund & Return Policy, Buyer Protection Policy, Payment & Payout Policy, Payment Review and Release Policy, KYC & AML Policy, Acceptable Use Policy, Communication Policy, Seller Performance Standards, Seller Privacy / Buyer Data Handling Policy, Intellectual Property Policy, DMCA / IP Takedown Policy, Dispute Resolution & Arbitration Policy, Platform Rules & Governance Policy, and other applicable policies.

If this Agreement conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.
