1. Purpose of This Agreement

This Affiliate Agreement explains the terms that apply when an Affiliate promotes MRNMarket, the Platform, Products, Sellers, Services, offers, links, campaigns, or marketplace activity in exchange for potential commissions, referral payments, rewards, or other compensation.

This Agreement applies to all Affiliates and to any User who participates in or attempts to participate in the MRNMarket affiliate program.

By applying for, joining, accessing, promoting, or participating in the affiliate program, you agree to this Agreement and all applicable MRNMarket policies.

2. Incorporated Policies

This Agreement should be read together with and incorporates by reference applicable MRNMarket policies, including:

1. Terms & Conditions;
2. Definitions Policy;
3. Privacy Policy;
4. Cookie & Tracking Policy;
5. Affiliate Program Overview;
6. Affiliate Brand Usage Policy;
7. Affiliate Disclosure Guidelines;
8. Affiliate Fraud & Abuse Policy;
9. Affiliate Payout & Tax Policy;
10. Affiliate Verification Policy;
11. Payment & Payout Policy;
12. Payment Review and Release Policy;
13. Acceptable Use Policy;
14. Communication Policy;
15. Prohibited Products Policy;
16. Intellectual Property Policy;
17. Platform Rules & Governance Policy;
18. Dispute Resolution & Arbitration Policy; and
19. other applicable MRNMarket policies.

3. MRNMarket’s Marketplace Role

MRNMarket operates primarily as a marketplace technology platform.

Unless a Product or Service is clearly identified as sold by MRNMarket Official Store, MRNMarket is generally not the Seller, manufacturer, supplier, carrier, delivery company, importer of record, exporter of record, customs broker, Merchant of Record, bank, money transmitter, licensed escrow provider, payment processor, financial institution, tax adviser, legal adviser, or party to the underlying sale contract between Buyer and Seller.

Affiliates promote the Platform or approved offers but do not act as employees, agents, brokers, legal representatives, partners, franchisees, or authorized spokespersons of MRNMarket unless expressly authorized in writing.

4. Affiliate Eligibility

To participate as an Affiliate, you must:

1. meet MRNMarket eligibility requirements;
2. provide accurate and current information;
3. complete required verification;
4. comply with MRNMarket policies;
5. comply with applicable advertising, consumer protection, privacy, tax, sanctions, and anti-spam laws;
6. use approved promotional methods;
7. avoid fraud, abuse, deception, and misleading claims;
8. disclose affiliate relationships where required;
9. have authority to act for any business or entity you represent;
10. and not be prohibited from participation by sanctions, fraud, legal, or compliance restrictions.

MRNMarket may approve, reject, limit, suspend, or terminate affiliate participation at any time where permitted by policy and law.

5. Affiliate Verification

MRNMarket may require Affiliates to complete identity, business, tax, payment, promotional channel, compliance, fraud, sanctions, or risk review.

MRNMarket or third-party providers may request:

1. legal name;
2. business name;
3. contact information;
4. address;
5. government identification;
6. tax forms or tax identification information;
7. payment or payout information;
8. website or social media channels;
9. promotional methods;
10. traffic sources;
11. audience information;
12. ownership or representative information;
13. compliance documents;
14. sanctions screening information;
15. fraud review information;
16. and other information required by MRNMarket, Payment Processors, or applicable law.

Verification does not guarantee commission approval, payout eligibility, payout timing, continued participation, or absence of enforcement action.

6. Affiliate Role and Restrictions

Affiliates may promote MRNMarket only as permitted by this Agreement and MRNMarket policies.

Affiliates must not:

1. claim to be MRNMarket employees, agents, representatives, or partners;
2. bind MRNMarket to any agreement;
3. make promises on behalf of MRNMarket;
4. provide legal, tax, financial, or product advice on behalf of MRNMarket;
5. misrepresent MRNMarket’s role;
6. misrepresent Products, Sellers, Services, commissions, pricing, refunds, delivery, or Buyer Protection;
7. imply guaranteed results, earnings, safety, refunds, delivery, or seller quality;
8. use unauthorized brand assets;
9. promote prohibited Products or Services;
10. or engage in deceptive, fraudulent, abusive, or unlawful promotion.

7. Approved Promotional Methods

Affiliates may promote MRNMarket through approved or permitted channels, which may include:

1. websites;
2. blogs;
3. social media;
4. email where legally compliant and authorized;
5. video content;
6. educational content;
7. referral links;
8. approved ads;
9. approved landing pages;
10. newsletters;
11. creator content;
12. influencer content;
13. business referrals;
14. or other approved promotional channels.

MRNMarket may restrict, prohibit, or require approval for specific channels, campaigns, keywords, audiences, countries, claims, creatives, or traffic sources.

8. Prohibited Promotional Methods

Affiliates must not use prohibited promotional methods, including:

1. spam;
2. phishing;
3. malware;
4. fake accounts;
5. fake traffic;
6. bot traffic;
7. cookie stuffing;
8. forced clicks;
9. hidden links;
10. misleading links;
11. fake referrals;
12. self-referrals where prohibited;
13. incentivized traffic where not approved;
14. unauthorized paid ads;
15. unauthorized trademark bidding;
16. misleading search ads;
17. domain squatting;
18. typosquatting;
19. impersonation;
20. fake MRNMarket pages;
21. misleading review sites;
22. false urgency;
23. fake discounts;
24. fake scarcity;
25. false income claims;
26. undisclosed sponsored content;
27. deceptive influencer promotions;
28. unauthorized SMS or messaging campaigns;
29. scraping;
30. data misuse;
31. or any activity prohibited by MRNMarket policies or applicable law.

9. Required Affiliate Disclosures

Affiliates must clearly and conspicuously disclose affiliate relationships where required by law, platform rules, or MRNMarket policies.

Disclosures should be placed where Users can see them before or at the time they interact with affiliate content or links.

Examples of disclosure language may include:

1. “I may earn a commission if you purchase through this link.”
2. “As an affiliate, I may receive compensation from qualifying referrals.”
3. “This post contains affiliate links.”

Disclosures must not be hidden, unclear, misleading, or placed only in locations unlikely to be noticed.

Affiliates are responsible for complying with all applicable advertising, endorsement, influencer, consumer protection, and disclosure laws.

10. Brand Usage

Affiliates may use MRNMarket names, logos, links, banners, images, trademarks, or marketing materials only as permitted by the Affiliate Brand Usage Policy or written authorization.

Affiliates must not:

1. alter MRNMarket logos without permission;
2. imply ownership of MRNMarket brand assets;
3. register domains, usernames, apps, pages, or accounts confusingly similar to MRNMarket;
4. use MRNMarket trademarks in misleading ads;
5. impersonate MRNMarket;
6. create fake official pages;
7. use outdated or unauthorized claims;
8. or damage MRNMarket’s brand reputation.

MRNMarket may require removal or modification of any affiliate content using MRNMarket branding.

11. Promotional Claims

Affiliate claims must be truthful, accurate, current, not misleading, and supported by evidence where required.

Affiliates must not make unsupported claims about:

1. guaranteed earnings;
2. guaranteed refunds;
3. guaranteed delivery;
4. guaranteed buyer protection;
5. guaranteed seller verification;
6. guaranteed safety;
7. guaranteed payout;
8. guaranteed approval;
9. Product quality;
10. Seller quality;
11. investment returns;
12. financial outcomes;
13. legal compliance;
14. tax outcomes;
15. medical or health benefits;
16. or any other unsupported or misleading claim.

Affiliates must accurately state that MRNMarket operates primarily as a marketplace technology platform and is not a bank, money transmitter, licensed escrow provider, payment processor, financial institution, legal adviser, or tax adviser unless expressly stated in writing.

12. Affiliate Tracking

MRNMarket may use affiliate links, referral codes, cookies, tracking pixels, platform records, analytics tools, or third-party affiliate systems to track referrals.

Affiliate tracking may be affected by:

1. browser settings;
2. cookie deletion;
3. ad blockers;
4. privacy tools;
5. device changes;
6. attribution windows;
7. tracking errors;
8. fraud review;
9. account verification;
10. payment processor rules;
11. refund or cancellation activity;
12. chargebacks;
13. technical issues;
14. and applicable law.

MRNMarket does not guarantee that every click, referral, conversion, Order, commission, or payout will be tracked, credited, approved, or paid.

13. Commission Eligibility

Affiliate commissions are earned only if all applicable requirements are satisfied.

Commission eligibility may depend on:

1. valid tracking;
2. approved affiliate status;
3. approved promotional method;
4. qualifying referral;
5. qualifying Order;
6. successful payment;
7. completion of applicable review period;
8. no refund, cancellation, chargeback, or fraud issue;
9. compliance with this Agreement;
10. compliance with campaign terms;
11. compliance with tax documentation requirements;
12. compliance with Payment Processor rules;
13. compliance with applicable law;
14. and MRNMarket approval.

Commissions are not earned merely because a link was clicked or a User visited the Platform.

14. Commission Exclusions

Commissions may be denied, reversed, reduced, delayed, or withheld for reasons including:

1. invalid tracking;
2. duplicate referral;
3. self-referral where prohibited;
4. fake referral;
5. bot traffic;
6. cookie stuffing;
7. forced clicks;
8. hidden links;
9. unauthorized promotion;
10. misleading claims;
11. prohibited Products;
12. canceled Order;
13. refunded Order;
14. chargeback;
15. fraud indicators;
16. affiliate policy violation;
17. missing verification;
18. missing tax documentation;
19. Payment Processor requirements;
20. sanctions or compliance concerns;
21. or other reasons permitted by MRNMarket policies.

15. Affiliate Payouts

Affiliate payouts are subject to:

1. Affiliate Payout & Tax Policy;
2. Payment & Payout Policy;
3. Payment Review and Release Policy;
4. payout thresholds;
5. payout schedules;
6. payout methods;
7. tax documentation;
8. verification;
9. fraud review;
10. compliance review;
11. Payment Processor rules;
12. and applicable law.

MRNMarket does not guarantee payout timing, payout method, payout amount, or payout success.

A commission shown as pending, estimated, approved, or eligible does not guarantee payment.

16. Taxes

Affiliates are responsible for their own taxes, tax reporting, tax filings, tax forms, tax payments, business registrations, and legal obligations related to affiliate earnings.

MRNMarket may request tax forms or tax identification information before approving or releasing payouts.

MRNMarket does not provide tax, legal, financial, accounting, or professional advice.

17. Affiliate Content License

By submitting or making available affiliate content that references MRNMarket, the Affiliate grants MRNMarket a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, copy, display, reproduce, distribute, publish, modify, adapt, translate, and otherwise process such content for purposes of operating, promoting, improving, securing, supporting, and enforcing the Platform, affiliate program, and MRNMarket policies.

Affiliate represents that it has all rights necessary to grant this license and that its content does not violate third-party rights or applicable law.

18. Data, Privacy, and Marketing Compliance

Affiliates must comply with privacy, anti-spam, marketing, endorsement, influencer, advertising, consumer protection, and data protection laws.

Affiliates must not:

1. collect Personal Data unlawfully;
2. send unlawful marketing messages;
3. use scraped data;
4. buy unauthorized email lists;
5. send spam;
6. fail to provide opt-outs where required;
7. misuse cookies or tracking tools;
8. misrepresent tracking or data practices;
9. violate platform advertising rules;
10. or misuse User information.

Affiliates must comply with the Privacy Policy, Cookie & Tracking Policy, Affiliate Disclosure Guidelines, and applicable laws.

19. Fraud and Abuse

Affiliates must not engage in fraud, abuse, manipulation, or prohibited conduct.

Prohibited affiliate conduct includes:

1. fake referrals;
2. self-referrals where prohibited;
3. bot traffic;
4. incentivized traffic where not approved;
5. cookie stuffing;
6. forced clicks;
7. hidden links;
8. fake accounts;
9. stolen payment use;
10. fake Orders;
11. commission manipulation;
12. refund manipulation;
13. chargeback manipulation;
14. trademark abuse;
15. misleading ads;
16. duplicate accounts;
17. account farming;
18. data misuse;
19. traffic laundering;
20. or any other conduct prohibited by the Affiliate Fraud & Abuse Policy.

Fraud or abuse may result in commission denial, commission reversal, payout hold, Account restriction, Account suspension, Account termination, reporting where permitted, or other Enforcement Action.

20. Monitoring and Review

MRNMarket may monitor affiliate activity, referrals, traffic sources, claims, content, conversions, refund rates, chargeback rates, complaints, disclosure practices, brand usage, compliance indicators, and fraud indicators.

MRNMarket may request information, documents, screenshots, traffic data, marketing materials, ad records, website access, social media links, campaign reports, tax documents, or other evidence needed to review affiliate compliance.

Failure to cooperate may result in commission denial, payout delay, Account restriction, suspension, termination, or other Enforcement Action.

21. Suspension and Termination

MRNMarket may suspend, restrict, or terminate affiliate participation at any time where permitted by policy and law.

Reasons may include:

1. violation of this Agreement;
2. violation of MRNMarket policies;
3. false or misleading claims;
4. failure to disclose affiliate relationship;
5. unauthorized brand use;
6. fraud or abuse;
7. prohibited traffic sources;
8. legal or compliance concerns;
9. sanctions risk;
10. missing verification;
11. missing tax documentation;
12. Payment Processor requirements;
13. reputational risk;
14. inactivity;
15. program changes;
16. or business needs.

Termination may result in loss of unpaid commissions where permitted by policy and law, especially where commissions are connected to fraud, abuse, policy violations, or invalid referrals.

22. Independent Contractor Status

Affiliates participate as independent contractors.

Nothing in this Agreement creates an employment, agency, partnership, joint venture, franchise, broker, representative, or fiduciary relationship between Affiliate and MRNMarket.

Affiliates have no authority to bind MRNMarket, make promises for MRNMarket, incur obligations for MRNMarket, or represent themselves as MRNMarket employees or agents.

23. Confidentiality

Affiliates may receive confidential or nonpublic information about MRNMarket, campaigns, commissions, tracking, users, business operations, or platform systems.

Affiliates must protect confidential information and use it only for authorized affiliate purposes.

Affiliates must not disclose confidential information except where required by law or authorized by MRNMarket.

Confidentiality obligations may continue after termination.

24. Indemnification

To the maximum extent permitted by applicable law, Affiliate agrees to defend, indemnify, and hold harmless MRNMarket and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising from or relating to:

1. Affiliate content;
2. promotional activity;
3. advertising claims;
4. disclosure failures;
5. privacy or marketing law violations;
6. intellectual property infringement;
7. brand misuse;
8. fraud or abuse;
9. tax obligations;
10. violation of this Agreement;
11. violation of MRNMarket policies;
12. violation of applicable law;
13. or disputes with third parties.

25. Limitation of Liability

To the maximum extent permitted by applicable law, MRNMarket is not liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-business, lost-data, lost-goodwill, lost-opportunity, or similar damages arising from or relating to affiliate participation, tracking issues, commission decisions, payout delays, program changes, Account restrictions, termination, or enforcement actions.

Nothing in this Agreement limits liability that cannot legally be limited under applicable law.

26. No Guarantee

MRNMarket does not guarantee:

1. affiliate approval;
2. continued participation;
3. tracking accuracy;
4. commission approval;
5. commission amount;
6. payout eligibility;
7. payout timing;
8. payout success;
9. conversion rates;
10. traffic;
11. earnings;
12. campaign availability;
13. program availability;
14. or continued affiliate program operation.

27. Changes to Program or Agreement

MRNMarket may update, modify, suspend, limit, or discontinue the affiliate program, commission rates, campaign terms, payout methods, attribution rules, promotional rules, eligibility requirements, or this Agreement at any time where permitted by policy and law.

Updated versions will be published on the Platform with a revised effective date or last updated date.

Continued participation after updates are published means the Affiliate acknowledges the updated Agreement.

28. Dispute Resolution and Arbitration

Disputes may be subject to the MRNMarket Dispute Resolution & Arbitration Policy.

Where permitted by applicable law, unresolved disputes may be resolved by binding individual arbitration in Missoula, Montana, United States, and may be subject to a class action waiver and jury trial waiver.

Nothing in this Agreement limits rights or remedies that cannot be waived under applicable law.

29. Governing Law

This Agreement is governed by the laws of the State of Montana, United States, without regard to conflict of law rules and without limiting mandatory rights under applicable law.

30. Relationship With Other Policies

This Agreement should be read together with:

11. Payment Review and Release Policy;
12. Acceptable Use Policy;
13. Communication Policy;
14. Prohibited Products Policy;
15. Intellectual Property Policy;
16. Platform Rules & Governance Policy;
17. Dispute Resolution & Arbitration Policy;
18. Definitions Policy; and
19. other applicable MRNMarket policies.

If this Agreement conflicts with the Terms & Conditions or another controlling MRNMarket policy, the controlling policy will apply, subject to rights that cannot be waived under applicable law.
